Contracting for Agentic AI

We are pleased to announce the release of our latest book, Contracting for Agentic AI. This is the seventh book in our annual series on technology and outsourcing topics. This year, we focus on contracting for agentic AI tools, agentic AI implementations, and managed services delivered through agentic AI. For that, we leverage our experience with the development of legal and contracting innovations for enterprise software systems, offshore outsourcing, cloud, platforms, and earlier waves of AI.

The articles are organized around three broad topics:

1. Contracting for agentic AI tools. The right terms depend on the use case, which might range from low-risk pilots to AI agents that independently perform critical services. A key constraint is the agentic AI supply chain, where agentic AI tool providers rely on AI model providers.
2. Engaging integrators and managed service providers. Some service providers will integrate and implement AI agents to perform business functions for companies in their environments. Others will deliver services to companies using AI agents, including by onboarding, supporting, monitoring, correcting, and sunsetting AI agents. Governance will be critical because of complexity, uncertainty, and rapid change.
3. Risks to address in contracting. We highlight litigation, data security, data governance, and data privacy risks relevant to contracting lawyers, with ideas designed to help contracting lawyers address those risks.

Together, we hope that the articles in this book will help readers develop the legal and contracting innovations required to bring companies and their providers together with tailored contract terms for agentic AI.
