Overview
Mitchell Carlson advises clients on a variety of domestic and cross-border transactions, including mergers and acquisitions, joint ventures, strategic alliances, venture capital and private equity investments, and other corporate matters.
In addition to his transactional practice, Mitchell provides strategic regulatory advice to large financial institutions, including contract review and counsel relating to enforcement proceedings, regulatory settlements, and ongoing compliance matters.
Experience
- General Motors Company in various matters, including: (i) its $3.5 billion joint venture with Samsung SDI Co. to produce automotive-grade battery cells in the United States; and (ii) its joint venture with Lithium Americas to develop the Thacker Pass lithium project in Nevada, the largest known lithium deposit in the United States.
- The Dow Chemical Company in its acquisition of Circulus Holdings, a leading North American recycler of plastic waste into post-consumer resin (PCR).
- An American electric power and natural gas holding company in various matters, including: (i) the sale of its 200-megawatt wind power generation assets to a private equity-backed UK-based infrastructure investment manager; and (ii) the sale of its 200-megawatt solar power generation assets to a private equity-backed infrastructure investment firm.
- A leading business-to-business global booking platform for business travel in its Series C Preferred Stock financing led by a private equity-backed British investment firm.
- A U.S.-based diversified financial services and insurance company in its acquisition of an insurtech title insurance provider from a multinational reinsurance company.
