Corporate & Securities Associate

Mayer Brown LLP seeks an associate lawyer for the Corporate & Securities practice to research and analyze the law on complex issues, and write legal components of financial prospectuses, pricing supplements, transaction agreements, and governance documents for submission to a supervising lawyer in the firm. Draft attorney letters to SEC and manage the necessary filings with its EDGAR system. Analyze and summarize complicated legal documents, including contracts and legal briefs, and suggest alterations to those documents in furtherance of clients' rights and obligations. Position requires a Master’s degree in Law, Legal Studies, or a related field and 3 years of experience with advising issuers on corporate governance, corporate operations, or in public and private offerings of equity or debt securities, including initial public offerings. Experience must include a minimum of: 3 years of experience with advising major multinational corporations on cross-border transactions and corporate law; 3 years of experience with managing legal risks in business development and expansion, customer relations, real estate, franchising, marketing, human resources, purchasing, finance, corporate communications, tax, and government relations; 3 years of experience advising major multinational corporations related to the drafting of term sheets, joint venture agreements, and related side agreements for multinational mergers and acquisitions; 3 years of experience advising major multinational corporations regarding the structuring, documentation, negotiation, and implementation of acquisitions, investments, joint ventures, and divestments; and 3 months of experience with structured products and securitization.

Antitrust Staff Attorney

The Washington DC office of Mayer Brown LLP seeks an antitrust staff attorney to assist with the coordination of Hart-Scott-Rodino (“HSR”) filings and multi-jurisdictional merger control filings, including managing the collection of information and documents required for filings, conducting preliminary filing analyses, and drafting the filings and related schedules.

Ideal candidates should have experience with HSR regulations, case law, and guidance and multi-jurisdictional filing process, including rules for calculation of turnover and the thresholds in primary jurisdictions, as well as familiarity with US and multi-jurisdictional merger control trends.

Staff Attorneys are expected to conduct basic company and industry research related to M&A transactions.

Ideal candidates will also have experience with antitrust government investigations, including responding to Second Requests, non-reportable merger or non-merger investigations, and third-party Civil Investigative Demands (“CIDs”). Experience should include being able to manage incoming files from client, organize and review documents for relevance, assist with drafting advocacy letters/white papers, conduct privilege reviews and create privilege logs, manage document review vendor (as needed), assist with managing experts, and assist with drafting written responses to Second Requests, CIDs, etc. (as needed).

With respect to antitrust litigation, Staff Attorneys in this position should be able to review documents, organize for relevance, and prepare for production, assist with confidentiality and privilege reviews, prepare witness files, assist with deposition preparation, assist in all aspects of trial preparation, arbitrations and mediations, and attend trial.

For all of the above tasks, Staff Attorneys in this role are expected to participate in client interviews and meetings as well as interface with opposing counsel, local counsel, or the regulatory agency.

Qualified candidates will have strong law school academic credentials together with relevant Big Law experience. A JD is required.

Appellate Associate

Mayer Brown seeks an associate lawyer for the Litigation & Dispute Resolution practice to counsel national and multinational corporate clients on critical litigation-related matters, including antitrust, arbitration, bankruptcy, class actions, commercial contracts, constitutional law, False Claims Act, intellectual property, joint-venture and post-acquisition disputes, personal jurisdiction, securities and shareholder derivative actions, or torts. Conduct extensive and complex legal research, and develop legal analyses that apply legal research to the facts of active or potential litigation matters. Develop legal briefing and strategy documents for clients in litigation matters before the US Supreme Court, federal and state appellate courts, trial courts, and regulatory agency proceedings. Represent clients in legal matters before state and federal courts, mediation, arbitration, pre-trial practice, and for purposes of internal investigations. Prepare and present oral and written legal positions and memoranda to senior Mayer Brown lawyers, who will base their high-level legal strategies and representation of clients on this work. Evaluate evidence to develop case strategies and advise clients on defending or prosecuting legal matters.

Position requires a Juris Doctor degree and 3 years of experience with advising corporate clients in a professional services industry. Experience must include: 1 year of experience with researching and drafting legal briefs on the merits before the US Supreme Court; 1 year of experience with evaluating petitions for discretionary review, as well as oppositions to petitions for discretionary judicial review, in a judicial setting; 1 year of experience with researching and drafting trial court legal briefs, motions, and memoranda; 1 year of experience with researching and drafting submissions to federal regulatory bodies; 1 year of experience with coordinating electronic discovery; 1 year of experience with legal practice involving issues of arbitration, commercial contracts, constitutional law, False Claims Act, intellectual property, personal jurisdiction, and torts.
