Ulrike Binder is an experienced and highly respected transactional lawyer to whom German and international clients turn for representation in a wide range of corporate matters. Ulrike has a specific focus on stock corporation and capital markets law, including public takeovers, going private, capital raising, annual general meetings and corporate governance topics. She is particularly experienced with businesses in the financial industry.

  • Lear Corporation on acquisition of Kongsberg Automotive’s Interior Comfort Systems Business Unit.
  • Lange-HANSA-Holding and ULM Management on the sale of HANSA-HEEMANN to Refresco.
  • Sixth Street Specialty Lending’s European business in connection with the public takeover offer and acquisition of shares in EASY SOFTWARE AG by deltus 36. AG, a holding company controlled by funds of Battery Ventures. EASY SOFTWARE AG is a German developer of software solutions for electronic archiving and document management systems.
  • Hauck & Aufhäuser Privatbankiers AG on the acquisition of Bankhaus Lampe KG from the Oetker Group. The closing of the transaction is subject to the approval of the regulatory authorities.
  • WiseTech Global, a leading developer and provider of software solutions to the logistics execution industry globally, on its public tender offer for shares in Softship AG, a leading provider of software solutions and related services to the international liner shipping sector, and on the subsequent squeeze-out of the minority shareholders in Softship AG.
