Arbitration and Energy: Three Recent JOA Developments

Our presenters will take a deep dive into three recent developments affecting the crucial Joint Operating Agreement (“JOA”). The first issue concerns the recent English Court of Appeal decision in Spirit Energy Resources Limited & ORS v. Marathon Oil UK LLC, [2019] EWCA 11, involving the operator’s right to be held harmless from unexpected, unbudgeted cost. The second issue involves the recent English High Court decision in TAQA Bratani Limited & Ors v RockRose UKCS8 LLC [2020] EWHC 58 (Comm), concerning operator removal and the relevance of the Braganza doctrine. The final issue concerns a recent decision of an ICC tribunal involving the enforceability of a JOA’s default and forfeiture provisions under the Brazilian Civil Code.
