• Advised Caterpillar in its acquisition of the global oil and gas division of Weir Group, a FTSE 250 Index constituent company, for US$405 million.

• Advised Crosstree on the sale of 183-205 Old Street, a retail parade in London, to a real estate investment management firm.
• Advised Round Hill Capital in the sale of its Nido student accommodation partnership and student management business to CPP Investments.
• Advised Ascott, a subsidiary of CapitaLand, on its HK$740 million disposal of a modern aparthotel, The Mercer, to Hanison Construction Holdings Limited, a Hong Kong-listed property developer.
• Advised a Chinese real estate property developer in the sale of a Grade A commercial building for HK$20 billion.
• Advised a China Merchants Group subsidiary, Sinotrans Shipping Limited, on its purchase of a majority stake in a Hong Kong-listed property management services provider valued at HK$728 million, resulting in successful privatisation.
• Advised a Hong Kong-based property management company in the acquisition of a PRC property management company in Guangdong, China.
• Advised Shui On Land in the acquisition of a majority interest in a joint venture to own and operate a cement plant in the PRC.

• Advised Mint S.p.A. in its acquisition of Redmill Solutions Limited, a company specialising in delivering marketing data solutions.
• Advised Vitruvian Partners in a series of block trades for the sale of its shares in Trustpilot.
• Advised Leapfrog Investments, a leading social impact investor focusing on Asia and Africa, in connection with its investment in Series B Preferred Shares of PT PasarPolis Indonesia, one of Indonesia’s first and leading Insurtech companies. This is one of the top 10 insurtech transactions globally in 2020 (Insurtech Report).
• Advised LO Global Private Assets Fund on its minority Series B subscription and co-investment in Fiture, a home fitness technology company.

Insurance

• Advised a US-based insurance company on the auction process for the sale and Part VII FSMA insurance business transfer of its London Market run-off insurance business.
• Advised Pure Cremations, a UK-based funeral plan provider, on the reinsurance of an instalment-based funeral plan, with Munich Re acting as reinsurer.
• Advised a prominent global bank on the acquisition of an insurance broker to expand its business into the PRC under the free trade agreement, The Mainland and Hong Kong Closer Economic Partnership Arrangement (CEPA).
• Advised a global financial investment management and insurance company on its acquisition of a minority equity interest in a bank-sponsored Chinese pension company and related joint venture arrangements.

Manufacturing

• Advised Mitutoyo Leeport, a prominent Japanese corporation, on the purchase of a minority stake in Hong Kong joint venture focusing on measuring instruments and metrological technology.
• Advised a Hong Kong-based garment manufacturer on the restructuring of its options and loan arrangements.
• Advised BioLogiQ, a biotech company, on the joint venture with Early Light, a Hong Kong-based OEM of toys and consumer products, for the manufacturing and distribution of bioactive botanical extract ingredients in China and the US.
• Advised Syngenta on its restructuring and pre-IPO investment in the PRC.

Shipping and aviation

• Advised China Merchants Commerce Financial Leasing on its acquisition of two LNG vessels, as well as related cross-collateralisation, leaseback arrangements, and sanctions issues for US$157 million.
• Advised China Merchants Commerce Financial Leasing on its subscription of shares, loan arrangements, and joint venture in a special purpose vehicle holding three vessels with a total value of US$276 million.
• Advised CSSC (Hong Kong) Shipping in its shipbuilding joint venture with Hafnia.
