Overview

Euan Strachan advises on project development, mergers and acquisitions and joint venture mandates in the energy space, regularly leading negotiations on a wide range of commercial agreements. He has significant experience supporting a variety of LNG regasification infrastructure projects, offshore wind and solar investments and first-of-kind green hydrogen developments, in addition to upstream oil & gas.

Drawing on in-house experience within a global energy major, Euan understands how executive teams assess risk, allocate capital and manage regulatory and reputational considerations. He delivers pragmatic, commercially aligned advice that supports decision-making at management and project levels, while maintaining momentum across multi-jurisdictional transactions.

Based in Singapore, Euan works closely with Mayer Brown’s Global Energy and Projects & Infrastructure teams to provide integrated support across jurisdictions, combining international capability with regional insight.

Experience

Prior to joining Mayer Brown, Euan has advised on the following matters:

Advised on the development and subsequent strategic exit of an interest in a multi-billion-dollar renewable and green hydrogen export project in Australia, including structuring considerations, stakeholder engagement, management of shareholder issues and negotiation of exit arrangements.
Advised a major international energy company on its participation in a large-scale LNG regasification and downstream infrastructure project in Southeast Asia, including structuring joint development arrangements, negotiating shareholders’ documentation and supporting LNG marketing and offtake strategy.
Acted as lead counsel to a global energy company on its investment in a landmark offshore wind project in Japan, including negotiation of subscription, participation and members’ agreements in the context of a competitive government auction process.

Represented an international energy investor in connection with its investment in a green hydrogen project in the Middle East, including negotiation of share purchase, shareholders’ and operating services agreements and ongoing development matters.
Advised on cross-border LNG sale and purchase agreements for supply into Asia, including drafting and negotiation of long-term offtake arrangements.
Advised international sponsors on acquisitions of solar portfolios in India and the United States, including due diligence, transaction structuring, share purchase documentation and financing interface.
Represented a major international oil and gas company on upstream operational, M&A and stakeholder matters in the GCC region, including negotiations with national oil companies in relation to concession interests and joint venture arrangements.
Advised a multinational energy company on its integrated gas joint venture in Oman, including corporate structuring, regulatory advice under the Omani oil and gas regime, and development of an LNG processing and bunkering facility.
Represented a leading Middle Eastern renewable energy developer in the disposal of a significant minority interest in its renewable energy platform to a Chinese state-owned investor, involving cross-border structuring and negotiation of transaction documentation in connection with a portfolio of assets across Asia, the Middle East and Africa.
Acted for international strategic investors in the acquisition of a minority interest in an Omani desalination company and its operating subsidiary in the context of a planned initial public offering, including negotiation of share transfer documentation and transaction framework arrangements.
Advised a consortium of Gulf-based sponsors on the establishment and structuring of the project company for the first solar independent power producer project in Oman, including corporate and shareholder arrangements.
Represented an international upstream investor in its acquisition of a minority participating interest in a major GCC onshore oil concession, including negotiation of transaction documentation and joint venture arrangements.
Acted for a global energy services company on the negotiation of long-term service agreements with state-owned utilities in Southeast Asia, including major gas turbine maintenance and upgrade contracts.
