Overview
Neela Pack is a senior associate in the Salt Lake City office of Mayer Brown and is a member of the Emerging Companies & Venture Capital, Mergers & Acquisitions, and Corporate & Securities practices. Neela provides strategic advice to companies, private funds, investors, and boards of directors. Her client base reflects the vibrant and dynamic Silicon Slopes ecosystem, innovating across a number of industries, including fintech, technology/SaaS, consumer retail, healthcare, and food and beverage.
Neela advises companies and investors on equity, debt, and SAFE financings ranging from pre-seed and early stage to growth and late stage/pre-IPO. She also advises on financing-related components, including spin-outs, redemptions, and tender offers. Neela is well versed in company formations and structures that enable fast and flexible growth in anticipation of financings and liquidity events. As companies mature, Neela steps into an “outside general counsel” role attending board of directors meetings and aiding in various corporate matters such as stock option grants, subsidiary formations, acqui-hires and employment matters, secondary sales, and venture debt.
Neela’s expertise also extends to advising clients on both buy-side and sell-side mergers and acquisitions/private equity transactions and other strategic transactions, including divestitures, restructurings, recapitalizations, and minority investments, in a variety of industries, including specialty foods, technology/SaaS, real estate, and consumer retail. She has experience with transaction-related components such as equity rollovers, gifting, liquidation models, and stockholder solicitations.
