Tauil & Chequer Advogados advises Eletrobras on the incorporation of Eletropar and the increase of share capital

Tauil & Chequer Advogados in association with Mayer Brown advised Eletrobras on the incorporation of Eletropar, approved at the shareholders meeting of Eletrobras and Eletropar.

With the completion of the transaction, Eletrobras fully assume all rights and obligations of Eletropar, with the extinction of Eletropar.

As a direct consequence of the merger, Eletrobras’ share capital was increased by BRL 35.3 million, and new shares were delivered to the former minority shareholders of Eletropar, who did not exercise their right to withdraw.

The transaction enables the simplification and streamlining of the corporate and governance structure, provides greater efficiency in the integrated management of the businesses, contributing to value creation for shareholders.
