Julian Dibbell leverages his deep understanding of contemporary technological developments to help clients develop, buy, and sell technology products and services.
For more than a decade, Julian has advised clients on a range of complex commercial transactions, involving IT outsourcing, digital platform and other hosted service agreements, business process outsourcing, facilities management outsourcing, data center leasing, technology licensing, cloud computing, and privacy and security issues, as well as transition services and other technology agreements in connection with M&A transactions. He has represented companies in many different industries, including financial services, health care, insurance, food and beverage, audit and assurance, publishing and information technology.
While in law school, Julian was a staff member of the University of Chicago Law Review and co-founder of the Law and Technology Society. He is conversational in Portuguese, Spanish, French, and Mandarin.
Julian is the host of Mayer Brown’s Tech Talks Podcast, which provides insight on legal issues relating to technology & IP transactions and touches on relevant and timely topics.

Transition Services & Technology Agreements in M&A
- Represented a Fortune 100 aerospace and defense company in negotiating transition services and cross-licensing agreements in connection with the sale of portions of its digital aviation solutions business, including flight planning, aviation data, and aircraft management assets, to a leading private equity firm.
- Represented a leading investment research company in negotiating technology and data licensing agreements in connection with its acquisition of a market-leading leveraged finance data and news business from a global financial data provider.
- Represented a Fortune 500 chemical manufacturer in negotiating manufacturing services agreements and related site services agreements in connection with the divestiture of operational assets at chemical manufacturing plants in the United States and Europe.
- Represented a global information services and publishing company in technology aspects of seven M&A transactions over a three-year period, including two acquisitions and five carve-out divestitures, leading work streams for transition services agreements, software license agreements, and IT representations and due diligence.
