London – Mayer Brown has advised Sullivan Street Partners (“Sullivan Street”) on its agreement to acquire the Aerostructures division of Senior Plc, a global engineering solutions provider. The transaction, valued at up to £200 million in enterprise value, represents Sullivan Street’s largest investment to date.
The Aerostructures division specialises in the manufacture of precision-machined airframes, engine components and complex assemblies for the global aerospace and space sectors. With operations across the UK, US and Asia, the business serves a global base of original equipment manufacturers and Tier 1 suppliers.
The acquisition will enable the Aerostructures division to focus on growth, building on its manufacturing excellence and supply chain reliability while enhancing its partnerships with leading original equipment manufacturers.
Lead partner Electra Callan, commented: "We're delighted to have supported Sullivan Street on their largest investment to date – while we've worked together on previous carve-outs, this transaction is one of the more complex deals we've worked on in recent years; it required us to obtain input from a vast number of legal specialisms across multiple jurisdictions, while also bridging the gap between a private equity buyer and a PLC seller – we feel that's something few firms can offer under one roof, and we're pleased we managed to deliver it.”
The Mayer Brown team was led by Private Equity partner Electra Callan supported by a deal team including Priyanka Patel, Alex Potten, Giles Clifford, Damini Kotecha and Aleksander Larski, together with Banking & Finance partners Christopher Chubb, Stuart Brinkworth, Alex Dell and Janelene Chen, counsel Tal Ben-Porat, associates Mike Gorski, Ben Crosby and Boaz Levy, Tax Partner Ben Eaton and senior associate Kathryn Buddington, International Trade & Sanctions partners Timothy Keeler, Michael Liebner, Jason Hungerford and Paul Whitfield-Jones and associate Kirsty Morris, IP partner Mark Prinsley, senior associate Reece Randall and associate Ellen Hepworth, Real Estate partner Iain Roberts and counsel Philip Runkel, EHS partner Tim Baines and consultant Michael Hutchinson, Employment & Benefits partner Miriam Bruce, counsel Lori Shannon and Gina Del Tatto, senior associates Mark Rose and Tejmin Kishun, Antitrust & Competition partner Mark Hills and associate Liam Boylan, Litigation & Dispute Resolution counsels Roger Patrick.
