Overview
Dan Kiely is a partner in Mayer Brown’s New York office and a member of the Tax Transactions & Consulting practice. Dan’s practice covers a wide range of federal income tax matters with a particular focus on international and domestic asset and finance transactions, including leasing, project financing, infrastructure, syndications, asset-backed securitizations and M&A.
Prior to joining Mayer Brown, Dan was the Senior Vice President and Chief Tax Officer of OneMain Financial (OMF) where he was responsible for all aspects of tax planning, policy and compliance. Prior to OMF, he held several leadership roles in the tax department of GE Capital and practiced in New York and London in a leading global law firm.
Experience
- Represented TransGrid Energy LLC (TransGrid), a leading owner and operator of utility-scale renewable energy projects, in connection with approximately $1.2 billion financing transactions to fund the construction of its Atlas VIII standalone battery storage project in La Paz County, Arizona. When completed, the Atlas VIII project will deliver 382.4 megawatts/1,529.6 megawatt-hours of storage capacity, supporting grid reliability, stability, capacity, and resilience for energy customers in California.
- Represented Sandhills Energy, a renewables developer and operator based in Nebraska, in a debt and equity investment by Kennedy Lewis Investment Management (KLIM).
- Represented a financial holding company in its tax equity investment in a portfolio of solar and solar plus storage projects owned by Greenbacker Renewable Energy Company LLC.
- Represented an investment banking company in their tax equity investment in a portfolio of approximately 1,900 residential solar projects.
- Represented JERA Nex Americas LLC in the acquisition of 100 percent of a holding company that indirectly owns two operating solar projects, the 95 MWac Happy Solar project located in White County, Arkansas and the Oxbow Solar project in Pointe Coupee Parish, Louisiana, with aggregate 300 MWac capacity, from an affiliate of Lightsource Renewable Energy US, LLC. The representation included negotiation with debt and tax equity providers of certain amendments to and consents under the financing and tax equity documents.
- Represented an electric power and natural gas holding company in its sale, including further potential earnout consideration, of DER Holstein TX Holdings, LLC, a 200-megawatt solar power generation facility located in Texas, to F8 Renewables Holstein Solar, LLC, a private equity-backed international infrastructure investment manager.
