Overview

Amy Jacks is co-head of the Restructuring practice of the London office. She acts for a variety of funds, investment and clearing banks, insolvency practitioners, corporates, management teams and property advisors.

Amy advises on complex and often multi-jurisdictional restructurings as well as having undertaken many of the larger portfolio sales in the market recently. She has led various high-profile transactions across a breadth of sectors including, in the last few months, construction, retail, technology, waste, energy and automotive.

Experience

Since joining Mayer Brown, Amy's experience includes:

  • Acting for Samsung Engineering and Saipem in their challenge to restructuring plans proposed by Petrofac, resulting in success in the Court of Appeal overturning the sanction at first instance.
  • Acting for a Bermuda registered, AIM-listed global insurance company, leading to the sale of its Accredited business to a PE firm out of a Bermudan provisional liquidation. We negotiated with the lenders to the group which comprised of senior RCF providers, senior and subordinated loan note holders (both regulatory capital) and several LC providers across different parts of the group. Work included negotiating a lock-up agreement with creditors, working with King’s Counsel to finalise a restructuring plan which included a cram down of holdout creditors and ultimately effecting the sale of its Accredited business.
  • Acting for the facility agent and syndicate of bank lenders, including development banks, of a c.$570m refinancing facility in respect of projects for the mining of strategic metals in Africa in connection with the project companies' financial difficulties and local insolvency processes. Work included advising with local counsel on the impact of the local insolvency process and the lenders' rights under the finance documentation, and negotiations with the underlying lenders with respect to the required action to be taken.
  • Acting for a syndicate of bank lenders under a $220 million senior secured project financing facility for the underground expansion and ongoing operations of the Karowe diamond mine in Botswana and the subsequent restructuring arising from the financial difficulties of the borrowing group.
  • Acting for the Agent and syndicate of lenders in relation to a healthcare group to support in negotiating and agreeing a restructuring package, including numerous amends and restates of the finance documents and injection of funds from the group’s sponsor. We advised in relation to a complex group reorganisation and continued to support the client for several months on a deleveraging of its portfolio of assets.
