Overview

Bill Heller represents clients in corporate and securities law matters, with a focus on the energy industry, including oilfield services and upstream oil and gas. He has extensive experience representing public and private companies in mergers, acquisitions and dispositions of businesses and assets; offerings of equity and debt securities; SEC reporting and securities law compliance; advising directors, boards and special committees on corporate governance matters, including fiduciary duties; and in representing investors and management teams in structuring and negotiating private equity investments in oil and gas companies.

  • Represented underwriters and E&P and mid-stream issuers in public debt offerings aggregating more than $1.5 billion
  • Represented clients in public offerings of common stock aggregating more than $800 million
  • Represented clients in private placements of common and convertible preferred equity securities aggregating more than $1.5 billion
  • Handled the acquisition of a publicly traded E&P company for approximately $1.0 billion
  • Represented management team in formation of E&P company and negotiation of more than $500 million in private equity investments
