The Practising Law Institute (PLI) will host a two-day, hybrid program, Private Placements and Hybrid Securities Offerings 2023, from March 14 – 15, 2023. Chaired by Mayer Brown partner, Anna Pinedo, the program will cover the basics of private placements, resales of restricted securities, Section 4(a)(1-1/2) transactions and block trades. The program will have a surrounding focus on documentation, principal negotiating issues, and market developments relating to late-stage or pre-IPO private placements, PIPE transactions, 4(a)(2) and Rule 144A offerings, and confidentially marketed public offerings.
Anna Pinedo will deliver the program’s opening remarks for both days, and Mayer Brown partner, Brian Hirshberg will participate on two panels on March 14, 2022. During the panel “Rule 506(c); Rule 504; General Solicitation; Test the Waters Communications; Rule 701 and Form S-8 and Proposed Amendments,” Brian Hirshberg will join Andrew Thorpe from Gunderson Dettmer to provide an overview of Section 4(a)(2) and Regulation D.
As a speaker on the afternoon panel entitled “Undertaking a Private Placement Transaction,” Brian Hirshberg will discuss topics including offering materials and legal considerations; securities purchase agreements; investors’ rights agreements; principal negotiating considerations; Form D; and legal opinions.
