Matthew D. Ingber

Matt is frequently brought in at critical stages of litigation to prepare cases for trial, reset strategy, and present complex issues in court. His representations include:

• Global financial institutions, including lenders, administrative agents, and securitization trustees, in complex commercial and financial disputes
• Technology companies in high-stakes copyright, contract and business tort actions, including class actions.
• Issuers and individuals in federal securities class actions and related fraud matters
• Major corporations facing significant environmental liability claims
• Individuals and companies in state Attorney General investigations and related civil proceedings

He also conducts internal corporate investigations for boards and special committees, including matters involving parallel civil, criminal, and regulatory proceedings.

Matt maintains an active pro bono practice, representing individuals in asylum, civil rights, and death penalty cases.

Matt currently sits on the firm’s global Management Committee. He previously served as Managing Partner of Mayer Brown’s New York office, and as co-leader of the firm’s global Litigation & Dispute Resolution and Banking & Finance Litigation practices.

• Secured a victory for a securitization trustee when the New York State Supreme Court overwhelmingly approved an $8.5 billion settlement entered into by the trustee, Countrywide, and Bank of America following a widely-reported nine-week trial. Served as lead Mayer Brown litigator who helped negotiate and then defend the settlement.
• Represented BNY Mellon in all aspects of litigation and SEC and CFTC investigations relating to the bankruptcy of Sentinel Management Group. Secured a trial victory for BNY Mellon when a federal district judge, after a month-long bench trial on the bankruptcy trustee’s $500 million claims for fraudulent and preferential transfers and equitable subordination, rejected all the trustee’s claims. The case eventually settled after various appeals.
• Won summary judgment for a major banking client in a lender liability action.
• Represented a Big Four accounting firm in connection with litigation arising out of its audit of a company accused of orchestrating a $600 million Ponzi scheme.
• Represented various insurance companies and banks in putative class actions asserting claims under the Telephone Consumer Protection Act.

Securities Litigation

• Won a jury trial on all claims for a CMBS bond trader accused by the SEC of federal securities fraud arising out of statements to trading counterparties about acquisition price and ownership. These allegations mirrored criminal charges brought by the DOJ against RMBS traders. The win was reported as a “complete vindication” of the trader and a rejection of the SEC years-long campaign premised on a strict “no-lying” theory of fraud.
• Won acquittal on all counts for an NYSE specialist broker accused of securities fraud in a two-week jury trial. The Wall Street Journal noted that the victory was the government’s "first defeat in prosecutions of allegedly improper trading activity on the New York Stock Exchange."
• Won a motion to dismiss on behalf of Frontier Communications in securities fraud lawsuit arising out of acquisition of Verizon assets; successfully represented client in related (and subsequently dismissed) shareholder derivative actions.
• Won a motion to dismiss with prejudice for all defendants in a Rule 10b-5 class action, In re eSpeed Securities Litigation, No. 05 Civ. 2091 (S.D.N.Y.).
• Won a motion to dismiss with prejudice in the Southern District of New York for all defendants in a Rule 10b-5 action, Abbad v. Amman, 285 F. Supp. 2d 411. The decision was affirmed on appeal by the Second Circuit in Abbad v. Amman, No. 03-9169, 2004 U.S. App. LEXIS 21033.

Technology, Media & Telecommunications

• Secured a total win in the multiyear defense of Spotify USA Inc. against music publishers Eight Mile Style and Martin Affiliated in federal district court in Nashville, Tennessee. This foreclosed plaintiffs’ pursuit of more than $100 million in damages from Spotify and co-defendant Harry Fox Agency and blocked plaintiffs’ efforts to undo as unconstitutional key elements of the Music Modernization Act. Spotify also prevailed on its third-party indemnification claim against Kobalt Music Publishing America, Inc.
• Secured a complete summary judgment victory and defeated class certification on behalf of a leading global telecommunications company in a consumer class action asserting civil RICO and California unfair competition claims arising from cell phone advertising.
• Representing one of the world’s largest social media companies in a copyright and business tort matter brought by a prominent music publisher asserting claims for direct and contributory copyright infringement, defamation, trade libel, and tortious interference claims.
• Representing a social media company in a significant copyright dispute brought by Eminem’s music publishers Eight Mile Style and Martin Affiliated, involving allegations of direct and secondary liability..
• Representing a leading AI company in a high-profile copyright infringement suit brought by several authors who have opted out of the $1.5 billion Bartz v. Anthropic settlement to pursue individual damages.
• Representing a popular music streaming service in a putative class action asserting negligence and California unfair competition claims in connection with alleged AI bot-generated artificial streaming.
• Represented a satellite entertainment provider in connection with an indemnification dispute arising from a corporate spin-off transaction.
• Won summary judgment for YouTube and its parent, Google, in a one billion-dollar copyright infringement suit brought by Viacom in federal district court in New York. The Washington Post called the win “an immense legal victory” for Google, and The New York Times observed that "the ruling in the closely watched case could have major implications for the scores of Internet sites” that rely on user-generated content.
• Represented Altice USA in a putative class action asserting claims under the Computer Fraud and Abuse Act.
• Represented a UK television auction channel in a trade secret misappropriation and breach of contract matter.

Enforcement & Investigations

• Represented a national real estate services company in an investigation by a state attorney general involving alleged Telephone Consumer Protection Act (TCPA) violations.
• Represented a leading rideshare company in an investigation by the New York Attorney General concerning alleged fraud, deceptive conduct, and labor‑related issues, resulting in a widely-reported, highly favorable resolution.
• Represented a large finance services organization in connection with a New York Attorney General investigation and subsequent lawsuit arising out of the financial crisis, all culminating in the voluntary withdrawal (without a settlement) of all claims.
• Represented an online gaming platform in connection with a New York Attorney General investigation into potential violations of the Children’s Online Privacy Protection Act (COPPA).
• Represented a multinational corporation in connection with an internal investigation relating to irregularities in the management of employee benefit plans for the corporation’s US subsidiaries.
• Represented a leading education and finance company in connection with investigations of the student loan industry by the attorneys general of ten states and various congressional committees.

Environmental Litigation

• Representing a multinational environmental services provider in federal and state environmental tort actions, including a class action, arising out of its operation of a wastewater treatment facility in Imperial Beach, California.
• Won a motion to dismiss on behalf of a multinational environmental services provider in a putative class action asserting constitutional, statutory, and tort claims arising from the temporary suspension of fluoride in the City of Buffalo’s municipal water supply.

Pro Bono

• Served as lead trial counsel in successful Section 1983 civil rights action against the State of New York.
• Represented the Anti-Defamation League in an investigation and related complaint filed with the Department of Education resulting in an agreement with the School District of Philadelphia to address repeated incidents of antisemitism in its schools.
• Led a team of lawyers in convincing the US Department of Homeland Security to grant asylum to a Nigerian family, including their chess-prodigy son, that escaped Boko Haram.
