Robin Koh Yee Shin

Robin Koh is an associate in the Corporate & Securities practice in Mayer Brown's Singapore office.

Robin advises multinational corporations, private equity and venture capital funds, and emerging businesses on corporate transactions across Singapore and Southeast Asia. Her practice covers mergers and acquisitions, joint ventures, private equity and venture capital investments, and corporate restructurings. She also advises on employment law aspects of transactions, including employee transfers and executive arrangements.

Robin also brings in-house perspective from her prior secondment to a leading international e-commerce company, where she led the legal and transactional work underpinning the launch of a new business initiative in Southeast Asia.

M&A / Private Equity / Venture Capital

• Advised a UK-headquartered private equity firm on its acquisition of an education consulting group with operations in Southeast Asia, including a complex restructuring of its Indonesian operations. 
• Advised a Singapore-headquartered investment platform company on its US$70 million investment into a timber fund.
• Advised a Germany-headquartered development finance institution on its Series B investment into an Indonesian logistics technology platform.
• Advised a US-headquartered multinational company on its acquisition of a Southeast Asian distributor of OEM industrial products. 
• Advised a sustainability-focused European asset manager on a joint venture involving its Italian-headquartered portfolio company providing technology solutions. 
• Advised a US-based real estate investment manager on the sale of all the shares in a company holding a commercial office building in Singapore for approximately US$440 million.*
• Advised a Singapore-headquartered multinational real estate company on a joint venture with an Australian real estate investment company for the development of a freehold commercial office tower in Australia, valued at approximately US$160 million.*
• Advised a Chinese-headquartered multinational technology company on a joint venture with a consortium of investors to redevelop a commercial office tower in Singapore, valued at approximately US$1.25 billion.*
• Advised a Swiss-headquartered multinational hospitality company on a joint venture with a private equity firm for the development of an island resort, valued at approximately US$400 million.*
• Advised a Japanese-headquartered multinational company on its intra-group restructuring in Singapore, in preparation for the listing of its ultimate holding company on the Tokyo Stock Exchange.*
• Advised a multinational software company on an intra-group reorganisation, including the re-domiciliation of an offshore company into Singapore and the amalgamation of two Singapore companies*

Employment

• Assisted clients in the drafting of Singapore employment agreements and executive director agreements.
• Advised a US-headquartered multinational technology company on the employment law implications for undertaking a new payment services business in several Asian countries.*
• Advised a Singapore-headquartered company on the transfer of its employees pursuant to a transfer of business undertaking in Singapore.*
