• Represented a Fortune 100 bank holding company in the structuring of a multi-lender technology platform offering auto loans to consumers, including advising on the preparation and negotiation of terms for lenders and other associated third parties wishing to participate in the platform.
• Represented a Fortune 500 global restaurant company in a technology partnership with a leading food delivery aggregator related to online ordering for pickup and delivery.
• Represented a Fortune 500 bank in the acquisition of a financial technology company to enable a direct-to-consumer digital lending platform.
• Represented a Fortune 500 multinational hospitality company in contracting with technology providers to implement a digital key solution for all of its hotels across the world.
• Represented a Fortune 500 insurance company in the acquisition and integration of a new life insurance business technology platform.
• Represented a Japanese multinational automotive manufacturer in a series of enterprise AI procurement and licensing arrangements, including negotiations with Microsoft, to procure OpenAI models through the Azure platform for use both in the U.S. and for international affiliates as part of an internal portal leveraging multiple models, including ChatGPT, and an ongoing negotiation of a master agreement with Anthropic for use across its global business for enterprise access to Anthropic’s leading enterprise models and Claude Code.
• Representing a global professional services and accounting firm in the negotiation of its commercial terms with Anthropic, for use by the client and its operating companies globally, with a value of $150 million, for enterprise access to all Claude models, including cases involving the deployment of such tools in connection with the firm’s services to its clients.
• Representing a leading global bank in negotiating an enterprise generative AI arrangement with Anthropic for deployment of Claude models and services across the client and its affiliates, spanning internal tools, analytics, software development, risk and compliance, fraud prevention, and customer service. Our team is drafting and negotiating the full document suite and has developed bespoke language to reconcile Anthropic’s evolving service model with the regulatory requirements of a major financial institution.
• Represented Cummins Inc. in negotiating and executing a master services agreement with Verizon for deployment of a combined Neutral Host and Private 5G network at a major manufacturing facility—a first-of-its-kind deal for Verizon’s new Neutral Host Network product. The deployment spans two million square feet of industrial space and supports Industry 4.0 applications, including autonomous robotics, machine health monitoring, computer vision, and AR/VR.
• Representing a Fortune 500 bank in the negotiation of its commercial terms with Anthropic and OpenAI for use by the client and its affiliates of the latest Claude and ChatGPT models. The parties are negotiating key issues around the spend commitment, data use, indemnities, limitations of liability, and termination and transition.
• Representing a U.S. technology company in an ongoing negotiation of the Google Cloud Master Agreement and related terms with Google for use, among other items, of Google Gemini and Notebook LM by the client and its operating companies globally. The engagement involves negotiation of key issues around data use, indemnities, limitations of liability, and termination and transition.
• Representing a U.S. technology company in a negotiation of an AI contract, with a value of $500,000 annually, with Anthropic, for use by the client and its operating companies globally for enterprise access to Claude Enterprise. The engagement involves negotiation of key issues around the spend commitment, data use, indemnities, limitations of liability, and termination and transition.
• Representing a leading American multinational semiconductor manufacturer in restructuring its upstream and downstream supply agreements to address the sale of AI-related chips to hyperscalers and other compute providers, such as neocloud providers. This involved providing strategic advice to mitigate the client’s risk as a participant in the AI supply chain.
• Advised a major global financial institution on the deployment of generative AI tools by its research department in connection with the preparation of equity and fixed income research reports, including analyst use of such tools to review and summarize issuer, industry, and market information. Also advised on the implementation of a digital platform for automated distribution of research reports to buy-side and sell-side clients, including drafting updates to the firm’s form research agreements to address clients’ potential use of AI tools to ingest, consolidate, or repackage research content and to restrict further distribution.

IT and Business Process Outsourcing

• Represented a Fortune 500 pharmaceutical company in a business process outsourcing and application development and maintenance transaction that will implement robotic process automation, analytics, and artificial intelligence initiatives.
• Represented a Fortune 100 insurance company in a business process outsourcing transaction that will enable it to automate many of its claims processing and underwriting functions.
• Represented a Fortune 100 bank in connection with a complex global multi-vendor outsourcing arrangement spanning multiple outsourced functions, including facilities management, real estate brokerage services, lease administration, technology, and call center.
• Represented a Fortune 500 insurance company in a series of major business process outsourcing transactions, including finance and accounting, human resources, information technology, and commercial real estate management, each with a different third-party service provider.
• Represented a global consumer goods company in connection with a global facilities management outsourcing transaction spanning facilities in countries across multiple regions, including EMEA, NORAM, and LATAM.
• Represented a Fortune 100 consumer goods company in connection with a global facilities management, transactional real estate, and lease administration outsourcing transaction.
• Represented a Fortune 100 food and beverage company in a complex spin-off arrangement involving the negotiation and cloning of multiple information technology, indirect procurement, human resources, and facilities management outsourcing agreements.
• Represented one of the largest global home appliance companies in connection with a multimillion-dollar outsourcing arrangement for information technology services.
• Represented GATX Corporation with its transition services agreement, IT and data access terms, and long-term managed services arrangement in connection with the $4.4 billion acquisition of approximately 105,000 railcars from Wells Fargo & Company through a joint venture with Brookfield Infrastructure Partners L.P. Also advised GATX on post-transaction IT and service provider integration matters.
• Representing a leading global IT services provider in an approximately $200 million transaction with a leading global recruitment process outsourcing provider to drive business transformation through AI and agentic AI and to provide IT and business process services to the transformed organization. The arrangement combines a traditional managed services relationship with a broader strategic partnership between the parties.
