在价值链的每一个环节提供增值服务

上游。我们在石油天然气勘探、生产、加工及营销项目的开发及运作方面经验丰富，包括与政府或国有自然资源公司就勘探开采租约、许可证、产品支付、净利润权益、特许权及参与协议进行谈判。我们处理的项目涉及美国、北海、中东、西非、东南亚、俄罗斯、里海以及前苏联其他地区众多已投入运营的大型油气田。
石油天然气合同。我们熟悉石油天然气行业特有的合同安排，能够协助客户处理最为错综复杂的法律问题，例如特许权合同、产品分成合同、参与协议、矿区使用费协议、联合投标协议、出让（farm-out）协议、油田联合开采协议、联合经营协议、LNG项目、交钥匙（turnkey）及其他施工合同、浮式生产储油卸油船（FPSO）建造合同、半潜式钻油台及其他钻油台、炼油合同、有关本土化要求的合同、设备和服务购买合同以及其他事宜。上述事宜均需由拥有广泛及多学科经验的律师团队办理。
液化天然气。我们在该领域的客户包括：东道国政府；液化天然气液化项目发起人；陆上和浮式再气化终端的开发者和使用者；长期供应合同下以及现货市场上的液化天然气买家和卖家；参与LNG船、浮式储存和再气化装置（FSRU）及浮式储存装置（FSU）收购、租赁、建造和融资的拥有人、承租人和贷款人；参与液化天然气项目融资的贷款人；参与液化天然气项目权益买卖的买家和卖家。精通液化天然气行业各类事宜且经验丰富的律师事务所为数不多。我们认为，在少数能够有效而高效地服务于世界任何地方液化天然气行业客户的律所中，本所属于个中翘楚。
页岩气。我们在非常规油气页岩项目方面经验丰富，经常协助行业参与者处理页岩资产收购、处置及运营，尤以发生在美国的此类交易为重。众所周知，美国是页岩项目发展最为成熟的国家。我们为规模最大的一些页岩合资企业提供法律服务，重点协助外国投资者把握美国页岩市场的机遇。我们曾协助加利福尼亚州最大的私人矿井业主审阅并修订其租赁协议（相当于其他司法管辖区的特许权/授权合同）范本，以适用于在加利福尼亚州进行页岩气开发。我们曾代表众多生产商处理其在美国主要页岩油气产区的各类事宜。

Experience

Oil & Gas

Advised PRIO on the US$3.5 billion acquisition of Equinor’s 60% participating interest in the Peregrino and Pitangola fields, located in the Campos Basin, offshore Brazil, and the acquisition of a percentage interest in a field in the Campos Basin by acquiring the Dutch subsidiary of Chinese investor, Sinochem, for US$1.9 billion.
Advised Pluspetrol on the acquisition of ExxonMobil Exploration Argentina S.R.L. from ExxonMobil Argentina Investments B.V. and QatarEnergy Argentina Holdings LLC, including stakes in blocks Bajo del Choique-La Invernada (one of the most prolific unconventional fields in the Vaca Muerta formation), Los Toldos I Sur, Los Toldos II Oeste, and Pampa de las Yeguas, in addition to a stake in the Oleoductos del Valle (Oldelval) oil pipeline. The transaction was reported to be worth approximately US$1.7 billion.
Represented Equinor in its US$2 billion sale to OMV of interests in development and producing interests on the UK and Norwegian Continental Shelf.
Represented Sinochem Petroleum USA in the US$1.7 billion acquisition of a 40% undivided interest in approximately 207,000 net oil and natural gas leasehold acres held by Pioneer Natural Resources Company in the horizontal Wolfcamp shale play in West Texas.
Advised GDF International, Engie Brasil Energia S.A. and Caisse de dépôt et placement du Québec in the acquisition of a 90% shareholding stake in Transportadora Associada de Gás S.A. from Petrobras with a final and binding offer amounting to US$8.6 billion.
Acted as international legal advisor to Chevron in its joint venture with YPF, Pluspetrol, Pan American Energy, Pampa Energía, Vista Energy, Chevron, Shell, Tecpetrol, and GyP for the construction and operation of a US$3 billion Vaca Muerta Oil Sur (VMOS) crude oil export pipeline project in Argentina, with initial capacity of 180,000 barrels per day and expansion capacity of up to 550,000 barrels per day. We subsequently advised the Company on a related US$2 billion syndicated loan financing for the construction of the Vaca Muerta Sur Oil Pipeline involving fourteen leading international banks and institutional investors.

LNG

Advised POSCO International on its strategic equity investment in the US$45 billion Alaska LNG Project and agreement to supply 1 MTPA of LNG to POSCO and terms for POSCO to supply steel for the project’s gas pipeline.
Advised Goldman Sachs & Co. LLC, as part of an investor consortium, in connection with its debt and equity investment in Port Arthur LNG Phase 2, an LNG infrastructure project developed by Sempra
Advised QatarEnergy on eight separate 27-year LNG SPAs with buyers including Shell, TotalEnergies, ConocoPhillips, Eni, and ExxonMobil, each for the supply of 1 to 2 MTPA of LNG from the North Field East/North Field South expansion projects in Qatar.
Advised PETRONAS on a 20-year FOB LNG SPA with Pembina Pipeline Corporation in respect of 1 MTPA of Pembina’s liquefaction capacity at the Cedar LNG facility, a floating LNG facility in Canada.

Energy Transition

Advising a major Japanese energy conglomerate in an equity investment and offtake transaction in a US$7 billion Blue Hydrogen Production Plant and Clean Ammonia Offtake Terminal in Louisiana, including preparing and negotiating the equity, offtake and key project agreements.
Advising Constellation Energy, operator of the largest fleet of nuclear power projects, on the development of an industrial scale ‘pink hydrogen’ project that will utilize nuclear energy to produce hydrogen. We are advising on the full range of development matters, including equipment supply, construction, real estate, and offtake matters.
Advising a North Asian investor on its potential ammonia bunkering project in Singapore including extensive analysis on Singapore regulatory framework and likely approach to the project.
Representing a consortium of sponsors in relation to development, financing, and operation of a 178,000MTPA green hydrogen project in Oman, using approximately 4.5 GW of wind and solar energy coupled with battery storage and an approximately 2.5 GW electrolyser. The produced hydrogen will be supplied to an ammonia plant to be built in the Salalah Free Zone and set to produce 1MTPA of green ammonia.
Representing Storegga in connection with its US CCUS projects, including negotiations for joint venture formation documents, operating agreements, CO2 offtake agreements with several major LNG producers and other emission sources, and pore space lease and surface use agreements with several major LNG producers and other emission sources.
Representing CEMEX, one of the world’s largest cement producers, in several projects and matters relating the CCS and ESG management.
Representing NextDecade Corporation with the capture and sequestration of emissions from its facilities located in Texas, as well as the acquisition of pore space and land rights for several reservoirs for which the company intends to provide sequestration services for future sources of carbon intensive emissions.
Advising the sponsors on the Northern Lights project which aims to transport, receive, and store CO2 below the seabed in the Northern North Sea.

Energy Disputes

Achieved a significant appellate victory on behalf of TC Energy Corp. in the Delaware Supreme Court, which reversed a US$199 million judgment previously entered against the company in connection with its US$13 billion acquisition of Columbia Pipeline Group Inc.
Represented owners in arbitrations with various contractors regarding cost overruns, delays, and other claims on lengthy segments of a 2,600-mile pressurized gas pipeline from Northern British Columbia to Joliet, Illinois.
Represented an engineering design company in a dispute with a Korean construction company involving deficient design, construction, and offset claims and terminating license of proprietary technology relating to an offshore oil rig in Angola.
Successfully defended BASF AG and its subsidiary Wintershall AG in a multibillion-dollar dispute with Moncrief Oil International Inc. in which Moncrief claimed it was excluded from the exploitation of the Jushno-Russkoye gas field in Siberia. Moncrief had claimed that BASF and Wintershall had encouraged Gazprom to ignore the various contractual obligations allegedly owed to Moncrief.
Acted as lead lawyers for the Ministry of Water Resources on claims of RMB 7 billion on a hydroelectric dam and power plant in Henan Province, China. Various aspects of underground tunneling were investigated and explored.
Successfully represented an engineering firm associated with an international energy company in an arbitration which provided detail design, construction management, and procurement services to the EPC contractor of a cogeneration facility in the Netherlands against claims of malpractice, cost overruns, and delays.

Renewable Energy

Represented a private equity fund in the approximately US$514 million pending acquisition, by merger, of a combined regulated gas utility and unregulated distributor of propane and several smaller businesses, including controlling interests in two solar facilities.
Represented a utility company, as sponsor, in the tax equity financing of a portfolio of wind projects, including the Frontier II Wind (350 MW) and Maryneal Wind (182 MW) in Oklahoma and Texas, respectively.
