Amy Jacks is co-head of the Restructuring practice of the London office. She acts for a variety of funds, investment and clearing banks, insolvency practitioners, corporates, management teams and property advisors.

Amy advises on complex and often multi-jurisdictional restructurings as well as having undertaken many of the larger portfolio sales in the market recently. She has led various high-profile transactions across a breadth of sectors including, in the last few months, construction, retail, technology, waste, energy and automotive.

Acting for Samsung Engineering and Saipem in their challenge to restructuring plans proposed by Petrofac, resulting in success in the Court of Appeal overturning the sanction at first instance.
Acting for a Bermuda registered, AIM-listed global insurance company, leading to the sale of its Accredited business to a PE firm out of a Bermudan provisional liquidation. We negotiated with the lenders to the group which comprised of senior RCF providers, senior and subordinated loan note holders (both regulatory capital) and several LC providers across different parts of the group. Work included negotiating a lock-up agreement with creditors, working with King’s Counsel to finalise a restructuring plan which included a cram down of holdout creditors and ultimately effecting the sale of its Accredited business.

Acting for the facility agent and syndicate of bank lenders, including development banks, of a c.$570m refinancing facility in respect of projects for the mining of strategic metals in Africa in connection with the project companies' financial difficulties and local insolvency processes. Work included advising with local counsel on the impact of the local insolvency process and the lenders' rights under the finance documentation, and negotiations with the underlying lenders with respect to the required action to be taken.
Acting for a syndicate of bank lenders under a $220 million senior secured project financing facility for the underground expansion and ongoing operations of the Karowe diamond mine in Botswana and the subsequent restructuring arising from the financial difficulties of the borrowing group.
Acting for the Agent and syndicate of lenders in relation to a healthcare group to support in negotiating and agreeing a restructuring package, including numerous amends and restates of the finance documents and injection of funds from the group’s sponsor. We advised in relation to a complex group reorganisation and continued to support the client for several months on a deleveraging of its portfolio of assets.
Acting for FTI Consulting on an accelerated M&A process and subsequent insolvency for The Collective Living Group, a complex offshore group structure (involving hundreds of corporate entities, LPs and LLPs) with multiple financial and JV stakeholders at various levels that operated a portfolio of up-market co-living spaces in the UK, Germany and the US. The group borrower was a Jersey entity, which entered English administration and Mayer Brown acted on a number of silo group sales.
Acting for the agent and lender to a global automotive car part manufacturing business operating across numerous jurisdictions including UK, Germany, US, France, Brazil, China and Turkey. The German entities entered DIP proceedings and subsequently the English entities entered administration. We advised in relation to DIP financing; defending clawbacks claims in the German proceedings; numerous sales of businesses and subsidiaries around the world; and finally in relation to an innovative multi-step escrow arrangement to facilitate an exit for the client via a complex multi-jurisdictional transaction.
Advised fixed charge receivers of shares in one of the Intu shopping centre structures in relation to their appointment and sales strategy.
Represented insolvency practitioners from Alvarez & Marsal Europe, the leading global professional services firm, in connection with all aspects of their appointment as the liquidators of Joannou & Paraskevaides (Overseas), a construction company operating in the Middle East, Europe & North Africa. The liquidators were appointed by an order of the Guernsey Court.
Acting for funds managed by Permira credit arm on their acquisition of a large portion of the stationery retailer Paperchase, a move which rescued the business from administration.
Advising Cath Kidston’s parent company, Hong Kong-based Baring Private Equity Asia in relation to its financing of the Cath Kidston group and subsequently regarding its purchase of the online, franchise and wholesale business of the brand by way of credit bid, after the retailer went into administration in April 2020.
Advising the joint administrators of Nationwide Accident Repair Services and 8 of its subsidiaries in all aspects relating to the sale of the business and certain assets to RunMyCar Limited. The business, operates a nationwide network of garages, servicing the accident repair market for a number of large UK general insurance firms.
Advising c.200 boards of directors across the Carillion group, after their listed parent company, Carillion Plc entered special liquidation. During the 15-month mandate, the team instigated and supported on 100s of board meetings and advised on the continuity of critical service lines and projects, covering areas as broad as motorway maintenance, housing of the armed forces, hospital building and maintenance, prisons and school meals. The team also: dealt with the unfreezing of a complex web of group bank accounts; facilitated the wind down (and in some cases, sales) of multiple joint-venture structures across the business as well as advising on a variety of transactions entered into by the companies.
Advising administrators of a London real estate group in relation to challenges made by shareholders around the loan to own strategy implemented by the appointing secured creditors and subsequent attempts to sell the business. Supporting on exit of administration via para 80.
Assisted with the appointment of administrators over a British toy shop and advised on the subsequent sales strategy, including negotiating intercreditor arrangements for secured deferred consideration.
