Overview
Over the past 15+ years, Trevor Shelton has advised on transactions totaling over 8 gigawatts of renewable energy capacity and more than $13 billion in investment, including numerous first-of-their-kind transactions and some of the largest renewable energy projects in the United States.
Trevor focuses on advising equity investors, sponsors, developers, borrowers and lenders on a wide range of financings, including tax equity, construction, term, and other forms of project debt and equity. He also has extensive experience in project development matters, asset dispositions and acquisitions, tax credit transfers, and a variety of other project finance and development transaction types.
Trevor has industry-leading experience across utility-scale solar, wind, and storage, as well as deep experience involving distributed generation, emerging clean technologies, and other innovative and established asset types.
Experience
Prior to Mayer Brown, Trevor represented:
- Numerous tax equity investors in their initial and continued investments in utility-scale wind, solar and storage projects utilizing a variety of structures, including partnership flip transactions, hybrid transactions, sale leasebacks, and inverted leases.
- Sellers and purchasers in transactions totaling over $1 billion in tax credit transfers involving a variety of credit types, including ITCs (IRC § 48), PTCs (IRC § 45), advanced manufacturing PTCs (IRC § 45X), and nuclear PTCs (IRC § 45U).
- Lenders, borrowers, agents, and arrangers in numerous debt facilities used to finance both utility-scale and distributed generation energy projects and related portfolios.
- Tax equity investors, sponsors, and private equity investors in the acquisition and disposition of membership interests in various portfolios of renewable energy projects including the acquisition of membership interests in (i) a 500 MW portfolio of three wind farms and (ii) an approximately 1-gigawatt portfolio of wind farms.
