Carolina Nunes

Carolina Nunes is an associate in the Energy and Corporate and M&A practices at Tauil & Chequer Advogados in association with Mayer Brown, based in the Rio de Janeiro office. Her practice focuses on advising domestic and foreign companies in the energy and infrastructure sectors.

Carolina has experience in regulatory matters related to the electricity sector, in mergers and acquisitions involving energy companies, and in the preparation of legal opinions for the electricity and infrastructure sectors. She also works on the drafting and review of a wide range of agreements, including construction contracts, equipment supply agreements, service agreements, and operation and maintenance agreements, among others. Her practice additionally encompasses advising clients in connection with competitive bidding processes conducted by governmental authorities.

• Advised Grupo Energía Bogotá in connection with its agreement with La Caisse to establish a jointly controlled power transmission platform in Brazil. The platform will be comprised of 26 transmission concession agreements, and over 9,000 km of power transmission lines.
• Advised an electric power company on the drafting of contractual templates for participation in Transmission Auctions.
• Advised an electric power company (Eletrobras, currently Axia Energia) in a corporate reorganization via merger by absorption (Companhia Hidrelétrica do São Francisco, Furnas, Companhia de Geração e Transmissão de Energia Elétrica do Sul do Brasil, and Eletronorte).
• Advised multiple clients in the energy sector on potential acquisitions of power generation projects (photovoltaic, wind, biomass plants, among others).
