Overview

Mark Hills helps clients navigate global merger control and foreign direct investment regulations enabling the execution of their key transactions. He also counsels clients involved in complex antitrust investigations, often cross-border, and on day-to-day antitrust compliance, including ESG projects.

Clients value Mark’s depth of expertise in the financial services sector. Before joining Mayer Brown, he spent several years working in-house at a leading European bank where he undertook a 'root and branch' review of the bank's antitrust compliance framework and risk assessment process. In addition to being the bank’s legal adviser on antitrust law matters, he had day-to-day responsibility for overseeing its antitrust compliance and training programme.

Mark also spent time working in the CMA’s Mergers Unit with day-to-day responsibility for running a number of complex and high-profile UK merger investigations.

Experience

Advising a Global Fortune 500 company on an EU merger control filing in respect of the acquisition of control over a technology business and coordinating multiple international merger control and FDI filings.
Supported the representation of private equity client, The Halifax Group in relation to its agreement to acquire the Worldwide Home Care division of Sodexo (France), providing merger control and FDI advice.
Supported the representation of private equity investor Sullivan Street Partners on their carve-out acquisition alongside Souter Investments of Tracerco, the diagnostic services business of FTSE 100 chemicals and technology group Johnson Matthey, providing merger control and FDI advice.

Advising a generic pharmaceutical manufacturer in connection with the CMA’s investigation into alleged excessive and unfair pricing of a generic medicine and a related anticompetitive agreement.*
Advised a UK listed betting and gaming operator on the CMA’s phase 2 merger investigation regarding its merger with a key competitor and the related divestment of licensed betting offices to secure conditional clearance.*
