Timothy M. Clark has more than two decades of experience in the investment funds industry representing clients in matters related to fund formation, mergers and acquisitions investments, and private funds investments. He has a proven track record with secondary transactions and provides advice to a broad range of investors and funds, including, venture capital, hedge, private equity, and sovereign wealth funds.


  • Advising a large superannuation and pension fund in connection with fund investments, co-investments and direct investments.
  • Represent a credit fund sponsor in the formation of closed-end direct lending funds.
  • Represent an alternative investment firm in the formation of a $750 million venture capital fund, and advised on negotiations with various seed capital investors.
  • Represent a private debt and private equity firm in the formation of a $500 million direct lending fund.
  • Represented a global independent financial advisor in the formation of a $500 million co-investment fund to make an investment into a portfolio company.
  • Represented an Australian superannuation fund on a secondaries transaction regarding the sale of fund interests with commitments of approximately $1 billion.
  • Represented First Sentier Investors, a subsidiary that is ultimately owned by Mitsubishi UFJ Financial Group, Inc., on the US bank regulatory component of their bid to acquire AlbaCore Capital Group, a European alternative investment manager. The review focused primarily on the analysis of the US funds managed by the target and on the US bank holding company requirements to which the acquirer is subject by virtue of its ultimate parent.

He has also been named on Who’s Who Legal 2024 in their Private Funds Formation category. In addition, he was recently named a "Notable Practitioner" by IFLR1000 for investment funds in the United States and New York.
