A Mayer Brown team led by Brian Massengill and Nicole Saharsky wiped out a $199 million loss in Delaware Chancery Court for client TC Energy Corp. stemming from the Canadian company’s $13 billion acquisition of Columbia Pipeline Group in 2016. Vice Chancellor Travis Laster had sided with shareholders in finding that TC Energy aided and abetted former Columbia executives who received lucrative change-in-control payments—aka “golden parachutes—as a result of the deal. But Justice Gary Traynor, writing for the unanimous en banc Delaware Supreme Court, concluded that “lacking actual knowledge of the sell-side breaches, TransCanada could not have knowingly participated in them.” Saharsky argued the appeal at the Delaware Supreme Court.
