Tauil & Chequer Advogados acts in Direcional Engenharia's R$ 429 million follow-on

Tauil & Chequer Advogados in association with Mayer Brown, alongside Mayer Brown's New York and Houston teams, advised banks Itaú BBA, XP, Bradesco BBI and Santander in Brazil and in the United States, respectively, as coordinators, in a R$ 429 million follow-on public offering of primary distribution of shares by Direcional Engenharia, a real estate company focused on the development of low-income and middle-income residential housing with operations in several regions of Brazil, pursuant to Brazil’s Securities and Exchange Commission (CVM) Resolution 160, and an international offering pursuant to Rule 144A and Regulation S under the U.S. Securities Act of 1933, as amended.

The team in Brazil was led by partners Rodolfo Tella and Carlos Motta, and included associates Natália Minotto, Stephanie Carmo and Isabella Toledo, all from the Capital Markets & Securitization practice, as well as partner Ludmila Braga, from the Real Estate Transactions and Investments practice, and associate Giampolo Marzulli, from the Tax team. The U.S. capital markets team was led by partner David Bakst (New York) and associate Ana Estrada (Houston) and included tax counsel Michael Loquercio, as well as associates Evan J. Eldridge (Capital Markets), Caitlin Schafer (Employment & Benefits), and Nicholas Flatley (Tax).
