Overview

Natália Minotto is an associate in the Capital Markets & Securitization practice of Tauil & Chequer Advogados in association with Mayer Brown in the São Paulo office. She advises companies, shareholders, financial institutions and institutional investors in a wide variety of finance, securities and corporate transactions, with particular emphasis on public offerings of securities.

Natália also advises publicly held companies and financial institutions on financial and securities regulatory matters under the jurisdiction of the Brazilian Securities and Exchange Commission (Comissão de Valores Mobiliários or CVM), the National Monetary Council (Conselho Monetário Nacional or CMN) and the Brazilian Central Bank (Banco Central do Brasil or BACEN), as well as self-regulating entities such as Brazilian stock exchange (B3) and the Brazilian Capital and Financial Markets Association (Associação Brasileira das Entidades dos Mercados Financeiro e de Capitais or ANBIMA), in addition to assisting companies in registering with the CVM and listing for trading (or migrating to a special trading segment) on B3.

Experience

  • Counsel to Locaweb Serviços de Internet S.A. and certain selling shareholders in the context of a public primary and secondary offering of shares (follow-on offering) with restricted placement efforts in accordance with CVM Rule 476 and placement efforts in the United States Securities (Rule 144A/Reg S), in the amount of R$2.7 billion.
  • Counsel to the underwriters (Itaú BBA, Morgan Stanley, Goldman Sachs and Safra) in the context of the initial public offering of shares issued by PetroRecôncavo S.A. and placement efforts outside Brazil (Rule 144A/RegS), in the amount of R$1 billion.
  • Counsel to Gerdau in connection with the offer to purchase for cash (Tender Offer) of outstanding bonds, for an aggregate purchase price, excluding accrued and unpaid interest, of US$300 million.
  • Counsel to the underwriters in connection with the offering and sale by the Banco BTG Pactual S.A. (acting through its Cayman Islands Branch) of its US$500 million Senior Notes, pursuant to its US$5 billion Global Medium-Term Note Programme. The proceeds of the Notes were used for financing or refinancing of eligible green and/or social projects according to its green, social and sustainable financing framework (green bonds).
  • Counsel to BTG Pactual, Bradesco BBI, Itaú BBA, Morgan Stanley e Santander, as underwriters, in connection with the restricted offering of units issued by BTG Pactual, resulting in a total offering amount of R$2,57 billion.
  • Counsel to Credit Suisse, BTG Pactual and XP Investimentos, as placement agents, in the context of the initial public offering of shares issued by Orizon Valorização de Resíduos S.A. and placement efforts outside Brazil (Rule 144A/RegS), in the amount of R$487 million.
  • Counsel to BTG Pactual, Bradesco BBI, Itaú BBA, Santander and UBS BB, as underwriters, in connection with the restricted offering of units issued by BTG Pactual, in the amount of R$2,98 billion.
  • Counsel to the underwriters in connection with the offering and sale by the Banco BTG Pactual S.A. (acting through its Cayman Islands Branch) of its US$250 million Senior Notes, pursuant to its US$5 billion Global Medium-Term Note Programme. The proceeds were used for financing or refinancing of eligible green and/or social projects according to its green, social and sustainable financing framework (green bonds).
  • Counsel to Goldman Sachs, Morgan Stanley, Bradesco BBI, Itaú BBA, UBS BB and XP, as underwriters, in the context of the initial public offering of shares issued by Zenvia Inc. on the Nasdaq, in the amount of U$150 million.
  • Counsel to BTG Pactual, Credit Suisse, UBS BB and Itaú BBA, as underwriters, in connection with the follow-on offering of shares issued by Sinqia S.A., with restricted placement efforts in Brazil pursuant to CVM Rule 476 and placement efforts abroad under Rule 144-A and Regulation S, in the amount of R$400 million.
