Private Placements and Hybrid Securities Offerings 2026

The Practising Law Institute (PLI) will host a two-day, hybrid program, Private Placements and Hybrid Securities Offerings 2026, from March 5-6, 2026. Chaired by Mayer Brown partner, Anna Pinedo, the program will provide an overview of the legal framework applicable to exempt offerings, with a focus on the changes brought about by the amendments that became effective in 2021. Panelists will walk through the basics of private placements, resales of restricted securities, Section 4(a)(1-1/2) transactions and block trades. The program will cover the changes to the accredited investor definition, changes to Rule 506, the demo day exception, the integration rules and proposed changes to the private placement framework. The second half of the program focuses on doing deals. Panelists will focus on the documentation, principal negotiating issues, and market developments relating to late-stage or pre-IPO private placements, PIPE transactions, equity lines of credit, Section 4(a)(2) debt private placements and Rule 144A offerings, registered direct offerings, at the market offerings and confidentially marketed public offerings.

Mayer Brown partner Anna Pinedo will deliver the program’s opening remarks for both days and and speak on the March 5th panel “Relying on Rule 506 and Other Private Placements Exemptions.” Partner Jennifer Zepralka will participate on the March 5th panels “Overview of 4(a)(2) and Regulation D,” and “Financings in Close Proximity to One Another.”
