The Practising Law Institute (PLI) will host a two-day, hybrid program, Private Placements and Hybrid Securities Offerings 2022, from March 31 – April 1, 2022. The program, chaired by Mayer Brown partner, Anna Pinedo, will cover the basics of private placements, resales of restricted securities, Section 4(a)(1-1/2) transactions and block trades. The program will have a surrounding focus on documentation, principal negotiating issues, and market developments relating to late-stage or pre-IPO private placements, PIPE transactions, 4(a)(2) and Rule 144A offerings, and confidentially marketed public offerings.
Anna Pinedo will deliver the program’s opening remarks for both days, and Mayer Brown partner, Brian Hirshberg will participate on two afternoon panels on March 31, 2022. During the panel “Resales of Restricted Securities; Secondary Sales of Securities of Privately Held Companies,” Brian Hirshberg will join panelists to discuss topics including an overview of Rule 144 and satisfying Rule 144 conditions; proposed amendments of Rule 144; tacking issues; Section 4(1-1/2) versus Section 4(a)(7); legal opinions regarding resales; liquidity opportunities for existing security holders; concept release questions raised on secondary sales; and legal considerations for secondary sales of privately held company stock.
As a speaker on the afternoon panel entitled “Undertaking a Private Transaction,” Brian Hirshberg will discuss topics including offering materials and legal considerations; securities purchase agreements; investors’ rights agreements, co-sale agreements, and registration rights agreements; principal negotiating considerations; and legal opinions.
