Mayer Brown hosted the latest installment of our Transactional Liability Insurance Roundtable on February 21, 2021. Our Roundtables are a chance to take a “deep dive” into the dynamic market for US transactional liability insurance, with a focus on industry professionals and evolving trends, challenges and opportunities in this ecosystem. 

The program included M&A practitioners who regularly represent both underwriters and insureds, subject-area specialists in some key issues insurers are likely to encounter in underwriting and litigators who are highly experienced in transactional liability insurance claims. The program was led by Corporate & Securities partners William Kucera and Joseph Castelluccio, co-leaders of our Transactional Liability Insurance practice, and featured insights from Tax Transactions & Consulting partner Jeffrey Davis and associates Christopher Odell (Chicago) and Isaac Maron (Washington DC); Intellectual Property partner Richard Assmus (Chicago); and Litigation & Dispute Resolution partners Michelle Annunziata, Joseph De Simone (both New York) and Robert Harrell (Houston). The sessions shared perspectives on key topics in the industry, including substantive issues and trends in underwriting representations and warranties insurance, tax considerations in M&A transactions and representations and warranties coverage, intellectual property considerations in transactional liability insurance transactions, and issues related to documentation and cooperation clauses in representations and warranties claims. 

We have previously held our Transactional Liability Insurance Roundtable as an in-person event. However, out of concern for the well-being of our clients and our team members, this year we have changed the format to a virtual roundtable.
