Alba Ribeiro

Alba regularly handles complex contractual matters, including shareholders’ agreements, joint venture agreements, legal opinions, commercial contracts, and powers of attorney. She also has significant experience with financial contracts, including credit assignment agreements, financing instruments, and documentation related to debenture issuances. Alba combines a strong academic background with practical experience in complex corporate and financial matters. She is skilled at coordinating with multiple stakeholders to ensure that transaction documentation aligns with both commercial objectives and regulatory requirements.

Her practice also encompasses corporate governance advisory, including the preparation of board and shareholders’ meeting minutes, corporate records, and governance frameworks, as well as day-to-day corporate support across a variety of sectors.

Alba has meaningful experience in M&A transactions, including legal due diligence, drafting and negotiation of transaction documents, and post-closing integration. She has also worked on corporate reorganizations, joint ventures, and the design and implementation of governance structures for both private and publicly held companies.

Before joining the firm, Alba served as an in-house lawyer at Origem Energia, a publicly held energy company, where she developed a strong foundation in financial contracts and capital markets transactions. In that role, she was closely involved in debenture issuances, drafted and reviewed credit assignment and derivatives agreements, and supported the structuring of financing arrangements. She also advised on corporate governance, contributed to acquisitions and complex corporate reorganizations, and played an active role in implementing governance frameworks, including bylaws reform and the adoption of internal policies.

Earlier in her career, Alba gained experience at leading law firms and multinational companies, working on oil & gas M&A transactions, project finance, and corporate matters.

In-House Experience – Energy Sector

• Participated in the acquisition of Petrobras’ Polo Alagoas, comprising seven oil and gas concessions (onshore and shallow water), in a transaction valued at approximately USD 300 million, supporting legal and corporate aspects of the transaction and integration.
• Participated in the successful bid led by Origem Energia Canoas for the MAC 11A liquid bulk terminal, involving a concession with a 25-year term, supporting legal, corporate, and regulatory aspects of the bidding process and project structuring.
• Participated in the issuance of incentivized debentures totaling approximately BRL 1.75 billion, supporting legal aspects of the transaction, including coordination with external counsel, documentation, and regulatory requirements.
• Assisted in corporate governance matters, including board, committee, and shareholders’ meetings, as well as corporate filings and registrations.
• Supported the structuring and implementation of governance frameworks for a publicly held company, including bylaws reform and internal policies.
• Participated in debenture issuances, coordinating legal audits, regulatory filings, and compliance requirements.
• Assisted in drafting financial contracts, including credit assignment and derivatives agreements.
• Contributed to M&A transactions and corporate reorganizations, including acquisitions, mergers, and joint ventures.
