Terry Prempeh

Terry works closely with NOCs, mining companies, international energy companies, banks and funds on a broad range of transactional matters. He drafts and negotiates long-term sale and purchase agreements, crude oil supply and offtake agreements, Terry also prepares general terms and conditions for the sale and purchase of commodities and advises on marketing and trading arrangements, drawing on in-house experience gained during a six-month secondment with a Middle Eastern national oil company, where he supported the marketing, sale and trading of commodities. He also works with national and international energy companies on aviation fuel sales and other downstream arrangements.

On the finance side, he assists with project-based and structured commodity finance transactions, including prepayment and other trade finance structures. Terry drafts and negotiates facility and security documentation, advises on receivables finance products, and supports lenders and borrowers in aligning financing structures with underlying trading flows.

• Drafted general terms and conditions for the sale and purchase of various commodities for a national oil company.
• Advised a national oil company on the sale of aviation fuel to global commercial airlines.
• Advised an international energy company on the negotiation of LNG master sale and purchase agreements with various counterparties.
• Drafted and negotiating a sale and purchase agreement in relation to the purchase of nickel ore in Asia.
• Drafted template wastewater services agreements for a leading multinational technology company.
• Drafted template propylene and sulphur sales confirmations for spot and term transactions for a national oil company.
• Advised a bank on back-to-back purchase agreements for the sale and purchase of lithium carbonate.
• Advised a global bank (acting as facility agent) in relation to a syndicate of over 20 international banks on a USD 1.5 billion receivables-backed trade finance facility to be made available to a quasi-government entity for the financing of national cocoa production in West Africa.
• Drafted loan agreements, security assignments and participation agreements on various transactions where financing was being provided to elite European football clubs, secured against future transfer payments receivables.
