Tom MacAulay

Clients turn to Tom MacAulay for advice on a wide range of corporate and commercial, M&A and insurance-related transactions. He has acted for a variety of insurers, other financial institutions and corporates.

Tom has wide-ranging and extensive experience in the life and annuity sector, including pension risk transfer and related (re)insurance transactions, M&A, associated asset management and collateral matters and with-profits matters. Tom has a particular interest in structuring and innovative solutions/enhancements in the life and annuity business (re)insurance space, both as regards "front-end" bulk purchase annuities and on the reinsurance side (both longevity-only and funded reinsurance).

Tom joined Mayer Brown in September 2024 from the London office of a leading life insurer, prior to which he worked at two "magic circle" firms in London and Milan. Tom is fluent in Italian and retains an active interest in the Italian corporate, M&A and insurance markets.

Recent experience since joining Mayer Brown in September 2024 includes:

• Advised a leading global reinsurer on funded reinsurance transactions in excess of £1bn;
• Advised a leading global reinsurer on the restructuring of its longevity reinsurance arrangements arising from the novation of an underlying longevity swap;
• Advised Royal London, the UK’s largest mutual life, pensions and investment provider, on the successful completion of a bulk purchase annuity transaction with the Trustees of the Milliken Industrials Limited Pension Plan;
