David J. Breyer

David Breyer is an associate in Mayer Brown’s New York office and a member of the Capital Markets practice. David represents public companies, investment banks, foreign private issuers and selling stockholders in a wide range of capital markets transactions, including follow-on offerings, at-the-market offerings, high-yield and investment-grade debt offerings, private placements (including Rule 144A/Reg S offerings and PIPE (private investment in public equity) transactions), and liability management transactions (exchange offers, tender offers and consent solicitations). David also advises companies on complex corporate governance matters, Securities and Exchange Commission reporting obligations and stock exchange compliance matters.
