Ryan H. Ferris

With respect to private equity matters, Ryan represents sponsors and their portfolio companies across the full deal lifecycle — from platform acquisitions and add-ons through dispositions and exit transactions — and regularly advises on management equity and incentive arrangements, co-investment structures, and governance matters. On public company M&A matters, in addition to negotiating and executing such transactions, Ryan frequently counsels buyers and publicly traded targets and their boards of directors and special committees on the management of strategic alternatives review processes, fiduciary duty considerations, litigation and risk management, and the complex regulatory and securities law requirements associated with such transactions. He also regularly advises clients on day-to-day governance, securities compliance, and other general corporate matters.
