Liang Pu is counsel in the Litigation & Dispute Resolution practice of the London office of Mayer Brown. She advises clients on anti-corruption and anti-bribery laws including the Hong Kong Prevention of Bribery Ordinance, the US Foreign Corrupt Practices Act and the UK Bribery Act, from both compliance and transactional perspectives.

Liang works on multi-jurisdictional anti-bribery and corruption matters in Asia and has previously worked in our Shanghai office for six months. She had also worked in the Mayer Brown US offices in Chicago and Washington DC focusing on FCPA and compliance related work, including due diligence for commercial transactions, internal or government investigations, settlement with the US government agencies and the establishment or enhancement of internal compliance systems and procedures. Liang is experienced in interacting with local parties and authorities and possesses the legal knowledge of the FCPA and Chinese anti-corruption laws.

Aside from her anti-corruption experience, Liang also advises on corporate restructuring and general commercial transactions including cross-border acquisitions and agency agreements for export trading companies. Liang has advised creditors, including banks and other financial institutions in debt restructuring and distressed acquisition activities in relation to Hong Kong publicly listed companies and their subsidiaries, involving assets in the PRC. She has also advised Provisional Liquidators and Liquidators in realisation of company assets.

Liang also has experience in finance and acting for banks in preparation of cross-border loan facility documentation as well as advising export trading companies on agency agreements.

  • Acted as the local legal project manager at a global bank in respect of its corporate compliance monitor's investigation in China.
  • Drafted corporate governance documentation and restructured internal control framework for the Hong Kong Branch of a global Swiss bank in its compliance remediation in response to a regulatory review by the Hong Kong Monetary Authority.
  • Developed and advised on internal compliance policies/procedures and ethical training programmes for MNCs in China, Hong Kong, Vietnam and the US.
  • Advised a US-based company in testing laboratory industry and revised its local internal anti-corruption policy and code of conduct from the perspective of Hong Kong law.

  • Advised a hotel group owner in reviewing and reporting suspected bribery issues to the Hong Kong Independent Commission against Corruption.
  • Assisted in a multi-jurisdiction FCPA internal investigation of an international cosmetic company in China and Hong Kong.
  • Represented senior level executives of a US, Macau and Singapore based gaming and hospitality group in its FCPA internal investigation in China and Macau.
  • Managed on-site jurisdictional discovery in Macau (involving E-discovery) in relation to a U.S. civil litigation involving corruption allegations.
  • Conducted review for a French international insurance company in its internal investigation in Hong Kong.
  • Assisted in various internal and DOJ investigations in the US.

Due Diligence

  • Conducted due diligence on the Chinese target companies for one of the largest engineering companies in its acquisition in China.
  • Designed and conduct anti-corruption specific due diligence review in Macau on the target companies for a Hong Kong listed international trading company in its acquisition of a group of pharmaceutical companies.
  • Conducted anti-corruption specific risk review for a UK multinational advertising and public relations company in its acquisition in China.

Advisory and transactional

  • Advised various leading Hong Kong real estate companies on anti-corruption provisions in property sale and purchase agreement and commercial leases.
  • Advised a multi-national shipping management company on provisions concerning FCPA and UK Bribery Act in a joint-venture agreement.
  • Advised a UK investment management company on anti-corruption issues concerning certain financial arrangements with the counterparties in the disposal of its investment project in China.
  • Advised a French leading flooring company on potential kick-back issues in its sales structure with distributors in China.
  • Advised universities on dealings with vendors, international collaboration concerning anti-bribery compliance issues.
  • Advised public and private Hong Kong companies on cross-border anti-money laundering issues involving Hong Kong enforcement agencies.


  • Advised Smart Union Group the provisional liquidators on matters arising in the administration of Hong Kong listed company Smart Union Group (Holdings) Limited and its subsidiaries, including issues concerning the validity of security interests, the restructuring of the group companies and resumption process. Advised on the resumption of trading in Hong Kong listed shares including the preparation and negotiation of restructuring documents, creditors' scheme of arrangement, security documents and restructuring circular and announcements. Also advised the scheme administrators on issues arising in the distribution of dividends to scheme creditors. 
  • Advised multi-bank creditors on issues arising in the complex restructuring and inter-creditors arrangements in relation to an international apparel manufacturing and trading group, in particular enforcement issues, realisation of assets onshore and offshore, distribution of proceeds and appointment of receivers. Also assisted in the negotiation and the documentation of sale of group assets to a new investor and the settlement arrangements.
  • Advised Ngai Lik Group on the scheme administrators and assisted in preparing documentation concerning the disposal of the scheme assets.
