Australian qualified associate, Veronica Lee acts for banks, other financial institutions and corporates on a broad range of domestic, European and international finance transactions with a particular focus on asset based lending (ABL), receivables finance and structured finance transactions (public and private securitisations, loan-on-loan financings and loan repacks)

Prior to joining Mayer Brown in 2022, Veronica worked for an International law firm in Sydney, Australia and undertook a secondment at one of Australia’s Big 4 banks.

Experiencia

  • Acted for a leading global financial institution as administrative agent, sole bookrunner and joint lead arranger in connection with a USD$150,000,000 ABL credit facility provided to an international temporary event power generation and distribution group. The ABL credit facility was made available to refinance the group’s existing credit facility and to finance the acquisition of entities in England, Scotland and Ireland.
  • Advised UK-based investment firm Inspirit Capital on its acquisition and carve-out of Watson Fuels, one of the UK’s leading fuel distribution businesses, from World Kinect Corporation. A £75,000,000 ABL facility was put in place to support the target group’s working capital.
  • Advised an investment banking company, as lender and original loan noteholder, under a single tranche loan note facility, used to advance loans to certain trade sellers under an account receivables origination programme.
  • Advised a financial institution on a back-leverage transaction, involving a senior facility to a Luxembourg SPV and equity injection by the Luxembourg SPV, the proceeds of which to be used to fund the purchase of a portion of certain Receivables by the Luxembourg SPV from a Jersey SPV pursuant to a receivables sale and servicing agreement.
  • Advised Barclays and Fasanara as lenders in connection with a €250,000,000 trade receivables securitisation made available to the Job and Talent Group in England, Germany, Sweden and Spain. View the press release here.
