Martin Gualino

In his international practice, Martin helps clients structure capital flows into Latin America and the Caribbean across diverse markets and industries. He is qualified in both civil and common law, and has worked on transactions involving the majority of countries across the region.

Martin is a native Spanish speaker and has working knowledge of Portuguese. Prior to joining Mayer Brown, Martin spent 5 years practicing law in Argentina, including 4 years in the corporate practice of a prominent top law firm in Buenos Aires and, before moving to the firm’s New York office, he spent a year in Mayer Brown’s Chicago office.

• The arranger, lender and administrative agent, in a US$225 million construction and term warehouse facility to finance the construction and operation of a pipeline of distributed generation solar energy projects across the US. This transaction represented the sponsor’s first portfolio-level debt financing.
• The arranger and lender in a US$300 million warehouse facility to finance a portfolio of commercial, industrial and distributed generation solar energy projects across the US.
• The originator in a MXN peso-linked revolving warehouse facility for an aggregate amount of US$1.5 billion to a bankruptcy-remote Mexican trust, secured by a portfolio of auto loans. This transaction represented the originator’s first cross-border asset-backed securitization (ABS) facility, and was at the time the largest ABS facility ever closed in Latin America, and the third-largest ABS deal in emerging markets globally.
• The originator in 3 cash flow term loan ABS transactions for an aggregate of approx. US$1.5 billion, secured by different portfolios of auto loans through bankruptcy-remote Mexican trusts. The first of these transactions was the first of its kind for the originator and established the platform for future monetizations of its auto loan portfolios.
• The lender, administrative and collateral agent, in several revolving warehouse facilities for an aggregate of up to approx. US$1.5 billion to bankruptcy-remote Mexican and Colombian trusts, secured by different portfolios of vehicles and SME, consumer and auto loans.
• The arranger and lender in two term loan warehouse facilities for an aggregate of up to US$100 million to bankruptcy-remote Colombian trusts, secured by different portfolios of payroll loans.
• The arranger in connection with the establishment of a loans program and the initial issuance of loans to a Mexican trust for approx. US$287 million.
• The arranger in connection with the establishment of a merchant voucher program and the US$70 million initial issuance of loans through a Cayman Islands vehicle established by an Ecuadorian company.
• The lender in 5 unsecured, bilateral revolving credit facilities and term loans, including sustainability linked facilities, for an aggregate of approx. US$902 million to companies in Chile, Mexico, and Brazil across the mining, food processing and distribution, vehicle rental, and pulp and paper manufacturing sectors.
• The Mexican borrower in the sustainability-linked refinancing of a US$500 million loan facility, consisting of a US$200 million 4-year term loan facility and a US$300 million 3-year revolving credit facility.
