Mayer Brown advises administrative agent on innovative multi-bank letter of credit facility
Mayer Brown represented one of the largest financial institutions in the United States, as administrative agent, in connection with an innovative multi-bank, two-year standby letter of credit facility for a major regulated electric utility.
The facility provides for the issuance of irrevocable standby letters of credit and forms part of a broader $6 billion credit authority approved by state regulators to support the utility's corporate liquidity needs and ongoing energy procurement activities.
The transaction presented a number of novel and complex issues requiring extensive analysis across multiple legal disciplines, including letters of credit, energy regulatory, banking regulatory, restructuring, and litigation matters. The innovative multi-bank structure, coupled with the regulated utility context and the scale of the underlying credit authorization, required close coordination among lawyers from a broad range of practices to develop practical and effective solutions tailored to the client's objectives.
The Mayer Brown team was led by Brian Trudgen, leader of Mayer Brown's US Lending practice, and Banking & Finance partner Jennifer Kratochvil in the firm’s Chicago office.
