Tauil & Chequer Advogados advised Vinci Capital on the BRL 1 billion debenture distribution by Osaka to finance the acquisition of a 67% stake in Outback, Abbraccio, and Aussie

Tauil & Chequer Advogados in association with Mayer Brown advised Vinci Capital Gestora de Recursos Ltda. on the public offering of the first issuance of debentures by Osaka Participações Societárias S.A., the current controlling shareholder of Outback, Abbraccio, and Aussie, in the total amount of BRL 1 billion.

The net proceeds obtained by Osaka are part of the financing for the acquisition of control over Bloomin' Brands’ operations in Brazil, which resulted in the acquisition of 67% of Outback, Abbraccio, and Aussie. The debentures are secured by a guarantee from Outback, among other typical real guarantees for this type of transaction.

The case was led by partners Bruno Cerqueira, Carlos Motta, and Guilherme Tranquillini, with the participation of associate Camila Torelli, all from the Capital Markets & Securitization practice.
