Deal Structuring for Agentic Managed Services

This Legal Update describes deal structuring considerations for agentic managed services. In agentic managed services, the provider deploys AI agents to perform ongoing business and technology functions. Provider personnel monitor, support, and manage the AI agents. The provider is accountable for delivering the ongoing services, but does so using AI agents that perform tasks, make decisions, interact with enterprise systems, and generate operational outputs. As a result, the deal structure includes services defined around the outsourced function rather than the agents, performance commitments measuring the combined AI-and-human service, and charges based on the cost and value of the agentic delivery model.
