  • Subscription Finance: Rated Note Feeder Funds and Debt Capital Commitments
    Insurance company investors are increasingly looking to invest in private equity and similar private investment funds via debt capital commitments (as opposed to traditional equity capital commitments) due to certain regulatory capital considerations. Traditionally, subscription-backed credit facilities have excluded debt capital commitments in borrowing base calculations on account of enforceability concerns in the event of a fund bankruptcy. This market update addresses structuring alternatives for the possible inclusion of insurance company commitments in a credit facility borrowing base.
