Federica M. Castro is an associate in Mayer Brown's Corporate & Securities practice and the Latin American & Caribbean group. She maintains a broad M&A practice, representing public and private companies, in corporate and business combination transactions such as mergers, acquisitions, joint ventures, reorganizations as well as project development in the U.S and Latin America. She regularly counsels clients in a variety of industries, including energy (including conventional and renewable power, oil and gas and other infrastructure), media and entertainment and financial services.

Prior to joining Mayer Brown, Federica was an associate in the Caracas office of a leading international law firm, concentrating her practice in general corporate and M&A transactions.

Federica earned her J.Ds from Emory University School of Law and Universidad Católica Andrés Bello (Venezuela), respectively. She also earned an LL.M in International Commercial Law from the University of Nottingham (U.K.). She is licensed to practice in the State of Texas and Venezuela. She is fluent in Spanish and English. She is also proficient in French.

Latin America Experience

  • Represented LSC Lithium B.V. in connection with the sale of all of the outstanding shares of Lithea Inc., the owner of the Pozuelos-Pastos Grandes lithium mining properties located in the Province of Salta, Argentina, to GFL International Co., Ltd., a subsidiary of Ganfeng Lithium Co. Ltd., for a total consideration of $962 million.
  • Represented Consorcio del Sur composed by Eurofinsa S.A and Ingeniería de Topografía y Caminos S.A. in connection with the financial close of the Costanera Sur project which entails the construction of the Costanera Sur Avenue, a 7.5 kilometers long highway with the aim of optimizing road connectivity in Asunción, Paraguay.
  • Represented a major American multinational mass media and entertainment conglomerate in the sale of all of the outstanding shares of a free-to-air TV channel in Chile to another major multinational mass media and entertainment conglomerate.
  • Assisted Vista Oil & Gas, the first independent oil and gas company to operate in the shale fields of Vaca Muerta in Argentina, in connection with operational and midstream services agreements.

US Experience

  • Represented the members of National Renewable Solutions, LLC, a Minneapolis-based renewable energy developer in the sale of a 100% interest in the company to GRP III Norse Holdings LP, a subsidiary of BlackRock, Inc.
  • Assisted Angelo, Gordon & Co., L.P., a leading, privately held alternative investment firm, as an existing term loan lender to, and a new money equity investor in, APR Operating LLC (D/B/A Admiral Permian Resources) a large, privately held exploration and production company that is focused on the acquisition and development of oil and gas properties in the Permian Basin.
  • Represented Siemens Financial Services in connection with the sale of its preferred equity interests in Panda Hummel Station Intermediate Holdings I LLC, and its ownership interest in the 1,124 MW combined cycle Hummel Station power generation facility located in Snyder County, Pennsylvania.
  • Represented Longroad Energy Partners and its affiliates on two separate transactions for the sale to various Danish pension funds managed by AIP Management P/S, of a 50 percent ownership interest in each of (i) the approximately 300 MWac Prospero Solar project located in Andrews County, Texas and (ii) the Little Bear Solar project comprised of a portfolio of four solar projects with a combined capacity of approximately 160 MWac located in Mendota, Fresno County, California.
  • Represented Engie Solar NA LLC in connection with the acquisition of a 250 megawatt Sun Valley Solar project located in Hill County, Texas.
  • Represented Engie Solar NA LLC in connection with the acquisition of a 320 megawatt Hopkins Energy Solar project located in Hopkins County, Texas.
  • Represented Fengate Asset Management in connection with the acquisition of a 72.6 megawatt wind project in Hancock County, Maine.
  • Represented John Hancock Life Insurance Co., U.S.A. in its $415 million acquisition of a minority interest in Duke Energy’s commercial renewable energy portfolio, consisting of 1.2 GW of wind, solar and battery storage assets.
