Andrew Stanger is an experienced equity incentives and tax lawyer and advises primarily on employee share plans and other forms of equity incentives, and played a major role in developing the firm's practice in this area.

Following a ten-year career in the music industry, Andrew retrained as a lawyer and joined Mayer Brown in 1995 as a trainee. He was appointed partner in 2002. He advises on all types of share plans, in particular tax-advantaged and tax efficient arrangements, together with other forms of employee incentives and rewards. Specific areas of focus include international share plans, "growth share" arrangements and private equity and fund structures (including carried interests).


  • Advising a major international bank on annual amendments to its equity and cash bonus plans, and drafting employee documentation and documentation for the delivery of shares on vesting of share awards.
  • Advising a major international financial institution on the reorganisation of existing limited partnership funds to include carried interest arrangements.
  • Drafting the share rights for growth share arrangements in a privately held telecoms company, and advising on a reorganisation of that company to create a new offshore holding company.
  • Advising LSE-listed Scott Wilson Group plc on share plan aspects of its takeover by URS. Plans involved were SAYE scheme, LTIP, approved CSOP and unapproved option scheme (all drafted by Mayer Brown). The transaction involved drafting approximately 20 detailed communications to award holders, in such a way as to be easily understood by the target audience, despite their technical nature.
