Luiza Uebel

Luiza Uebel is an associate in the Real Estate Transactions and Investments practice of Tauil & Chequer Advogados (in association with Mayer Brown) in the São Paulo office, with more than six years of experience in the real estate sector. She advises local and international clients, including multinational corporations, real estate developers, financial institutions, pension funds and investment managers, on complex real estate and corporate transactions, including M&A, joint ventures, acquisitions and dispositions, leases, built-to-suits, sale-leasebacks, land swaps, surface rights and public land concessions. She works across a wide range of sectors, including agribusiness, hospitality and leisure, multifamily, healthcare, sanitation, entertainment, infrastructure, renewable energy, retail and logistics.

Luiza is also active in real estate finance and capital markets, having advised clients on public and private offerings and on the structuring of real estate investment funds and agribusiness investment funds. Drawing on her cross-border experience with clients from many jurisdictions, Luiza offers practical, tailored solutions to the challenges of investing in Brazilian real estate, from initial structuring and due diligence through financing and closing.

• Live Nation Entertainment on its joint venture of more than BRL 1 billion with Cidade Center Norte for the development of Brazil’s first world-class entertainment and sports arena, one of the largest entertainment infrastructure projects in Latin America. Scope included the negotiation of the investment and shareholders’ agreements for the JV, as well as the design, GMP and vendor agreements for the development of the future arena.
• Agrícola Xingu on its exit from the Brazilian market through the sale of approximately 230,000 acres of farmland for an aggregate value of BRL 2.1 billion. Scope included sell-side advisory, regularization of the rural properties and negotiation of the transaction agreements.
• Engie Brasil Energia on the BRL 3.24 billion acquisition of photovoltaic power plants from Atlas Renewable Energy in Brazil, a landmark transaction in the renewable energy sector that was appointed Impact Deal of the Year at the ITR Americas Tax Awards by International Tax Review.
• Axia Energia (formerly Eletrobrás) on the structuring of its first private real estate investment fund (FII), a dedicated vehicle to ringfence and manage non-core real estate assets unrelated to its energy operations, enabling their monetization through logistics, developments, land swaps and other strategic transactions. Also advised on a financial land swap with a real estate developer involving a prime asset in Brasília, for a high-end development with an estimated potential sales value of BRL 1.47 billion.
