Michelle F. Herman

Michelle F. Herman assists clients in matters of structured finance, securitization, supply chain finance, equipment finance, and general lending.

She has extensive experience advising on domestic and cross border structured finance transactions across both traditional and esoteric asset classes, including: trade receivables, installment sales contracts, commercial loans, marketplace loans, auto loans and leases, spectrum assets, trademarks and IP backed assets, handsets, Bitcoin, renewable energy and other energy related assets. Michelle regularly structures both on balance sheet and off balance sheet transactions using special purpose vehicles (SPVs) and orphan entities, with deep experience in true sale, bankruptcy remoteness, and risk transfer mechanics.

Michelle also advises lenders, lessors, and lessees across the full spectrum of aviation finance and equipment lease transactions—from TRAC, capital, and operating leases to asset acquisitions and foreclosure proceedings. Her experience also extends to general corporate finance, specifically unsecured and secured bi-lateral and syndicated credit facilities.
