Federica M. Castro is a senior associate in Mayer Brown's M&A and Global Energy groups based in Houston. She maintains a broad M&A practice, representing public and private companies, in corporate and business combination transactions such as mergers, acquisitions and joint ventures as well as project development in the United States and Latin America. She regularly counsels clients in a variety of industries, including energy (including conventional and renewable power, oil and gas and other infrastructure), media and entertainment and financial services.

Prior to joining Mayer Brown, Federica was an associate in the Caracas office of a top-tier international law firm, concentrating her practice in general corporate and M&A transactions. Fluent in English and Spanish, Federica graduated from Emory University School of Law and Universidad Católica Andrés Bello (Venezuela) and earned an LL.M in International Commercial Law from the University of Nottingham (U.K.). She is licensed to practice in the State of Texas and Venezuela.

Representatives Matters in Latin America

  • PETRONAS Carigali Canada B.V. and PETRONAS Carigali International E&P B.V. on the $1.5 billion sale of 100% of the capital stock of PETRONAS E&P Argentina S.A. (PEPASA), which holds a 50% working interest in the La Amarga Chica unconventional oil and gas concession in the Vaca Muerta formation located in Neuquén, Argentina to Vista Energy, S.A.B. de C.V. (Vista) and Vista Argentina S.A.U.
  • Pluspetrol S.A. on the acquisition of Exxon Mobil Exploration Argentina S.R.L. from ExxonMobil Argentina Investments B.V. and QatarEnergy Argentina Holdings LLC. The acquisition included stakes in blocks Bajo del Choique-La Invernada (one of the most prolific unconventional fields in the Vaca Muerta formation), Los Toldos I Sur, Los Toldos II Oeste, and Pampa de las Yeguas, in the Province of Neuquén, Argentina, in addition to a stake in the Oleoductos del Valle (Oldelval) oil pipeline. The transaction was reported to be worth approximately $1.7 billion.
  • Talos Production Inc. in the sale of a 30.1% interest in the company’s Mexican subsidiary, which holds a 17.4% stake in the Zama Oil & Gas (Zama) offshore project Mexico, to Zamajal, S.A. de C.V., a wholly owned subsidiary of Grupo Carso. Upon Closing, Talos will receive $49.7 million in cash at closing, with an additional $33.0 million due upon first commercial production from the Zama Field, for an aggregate price of $82.7 million. The transaction is expected to close upon the receipt of all regulatory approvals.
  • Chevron Argentina S.R.L. on its participation in the $3 billion crude oil export pipeline project, Vaca Muerta Sur. This project, announced on December 16, 2024, will be developed by VMOS S.A., with YPF S.A., Vista Energy Argentina S.A.U, Pampa Energía S.A., and Pan American Sur S.A. as initial shareholders. Mayer Brown acted as internal legal advisor and another international law firm acted as project counsel to VMOS S.A.
  • Talos Production Inc. in the US$124.7 million sale of a 49.9% interest in the company’s Mexican subsidiary, which holds a 17.4% stake in the Zama Oil & Gas (Zama) offshore project Mexico, to Zamajal, S.A. de C.V., a wholly owned subsidiary of Grupo Carso.
  • LSC Lithium B.V. on the sale of all of the outstanding shares of Lithea Inc., the owner of the Pozuelos-Pastos Grandes lithium mining properties located in the Province of Salta, Argentina, to GFL International Co., Ltd., a subsidiary of Ganfeng Lithium Co. Ltd., for a total consideration of $962 million.
  • Consorcio del Sur composed by Eurofinsa SA and Ingeniería de Topografía y Caminos S.A. on the financial close of the Costanera Sur project which entails the construction of the Costanera Sur Avenue, a 7.5 kilometers long highway with the aim of optimizing road connectivity in Asunción, Paraguay.
  • Warner Media on the sale of all of the outstanding shares of a free-to-air channel in Chile to another major multinational mass media and entertainment company.
  • Vista Oil & Gas, the first independent oil and gas company to operate in the shale fields of Vaca Muerta in Argentina, in its operational and midstream services agreement with affiliates of Riverstone, Southern Cross and other sponsors to create Aleph Midstream S.A.
