Tauil & Chequer Advogados advised Agromen and Ferrari Agroindústria on the purchase of a sugarcane mill from Raízen
Tauil & Chequer Advogados in association with Mayer Brown advised Agromen and Ferrari Agroindústria in the formation of a joint venture for the acquisition of a sugarcane mill and associated assets located in the municipality of Leme, State of São Paulo, owned by Raízen, a joint venture between Cosan and Shell.
The closing of the transaction, valued at approximately R$ 425 million, is subject to the fulfillment of certain conditions precedent, including approval by the Brazilian Antitrust Authority (CADE).
The Leme Mill is located in the Piracicaba region and has an installed capacity of 1.8 million tons per harvest. In addition to the industrial asset, the transaction will involve the assignment of approximately 1.5 million tons of sugarcane.
Agromen owns Grupo Vale do Verdão, which has three mills of its own and a fourth, São Luiz Bioenergia, in another joint venture with Ferrari Agroindústria.
The transaction was led by partners Luis Otero Montes, from the Banking and Finance practice, and Guilherme Tranquilini, from the Corporate and Mergers & Acquisitions practice. The team also included counsel Isabella Giorgi, from the Antitrust and Competition practice, and associates Thiago Coimbra and Isabella Toledo, both from Corporate and Mergers & Acquisitions.
