Bassem Caradec advises clients on French or international structured finance, securitisation or fund finance matters, as well as asset-based lending or leveraged finance transactions. He has an extensive experience across a broad range of securitisation and factoring programs (with a focus on cross-border structures) and asset-based structured transactions involving a wide range of asset classes, as well as the establishment of various French debt funds dedicated to infrastructure, SME loans, or the purchase of non-performing loans (NPL), including through fintech platforms. Bassem has also participated in setting up several French debt funds authorised to act as European Long Term Investment Funds (ELTIF) by the French market authorities for the purpose of granting loans directly.

Advised:

  • A pool of international credit institutions, on the French law aspects of a securitisation transaction dedicated to the financing of the acquisition of a portfolio of Buy-Now-Pay-Later (BNPL) receivables.
  • Two international financial institutions (acting as senior lenders) on the setting up of a trade receivables securitisation transaction for a US chemical group with an affiliate located in France.
  • An English investment fund on its investment in bonds issued by a French securitisation fund dedicated to the purchasing of a portfolio of non-performing loans
  • In the creation of debt funds in securitization vehicle format for a crowdlending platform, being approved as European Long Term Investment Funds (ELTIF) by the French Market Authority, and as such authorised to grant direct loans to European SMEs.
  • In the creation of a French securitisation fund dedicated to financing SMEs through the acquisition of loans granted by them as part of their legal obligation to participate in the construction effort (PEC).
  • In the creation of a French securitisation fund dedicated to the refinancing of equipments leasing transactions concluded with SMEs located in certain European Union countries.
  • A leading global financial institutions (either acting as arrangers and senior investors) in connection with the structuring and closing (first phase) and extension (second phase) of a EUR 1.4 billion pan-European (France, UK and Spain) securitisation transaction relating to vehicle leases generated by a French professional vehicle leasing group.
  • A French factoring company on the structuring/restructuring of 4 pan-European receivables financing facilities to industrial groups.
  • Advising RaboBank with an amendment to an existing trade receivables securitization, which involved the addition of new originators to the transaction in France, Belgium and the Netherlands.
  • a US chemical company on the restructuring and extension of its EUR500M EUR trade receivables securitisation programme arranged by two global financial institutions.
  • A leading global financial institution as arranger in the structuring and restructuring of 5 asset-based lending facilities to the French affiliates of various industrial groups.
  • A French corporate and investment bank as arranger and invoice purchaser in the structuring of several pan-European supply chain financing programmes with several industrial or commercial groups.
  • A German factoring company on pan-European trade receivables financings.
  • A German financial institution in the structuring of German law schuldschein notes to be issued in favour of French public entities.
  • A US supply chain company, as parent guarantor, in (i) terminating a EUR200M trade receivables securitization arranged by two French credit institutions and (ii) refinancing such programme through a new EUR200M receivables financing facility, in each case, relating to the trade receivables originated by the French and UK affiliates of its client.
  • A Dutch credit institution  in the follow-up restructuring of a trade receivables securitization programme involving an advanced technologies and expert support for water-intensive industries.
  • A US logistics company on the restructuring of its EUR225M existing UK/France trade receivables programme into two separate trade receivables arrangements.
  • A US financial institution, as arranger, agent and lender, in a US$4 billion cross-border syndicated asset-based lending transaction for a leading information technology provider. The transaction involved 16 jurisdictions.
  • A French credit institution in the structuring of two fund financing transactions with major French private equity houses.
  • A leading global financial institution as arranger in the structuring of invoice discounting programmes.
  • AUS leading global financial institution in connection with the structuring of a real estate financing and subsequent CMBS securitization of French real estate assets owned by investment funds.
  • A leading global financial institution  in connection with French collateral for loans.
  • A French cleaning group in the structuring and setting-up of a EUR200M trade receivables securitization programme arranged by a French credit institution relating to the trade receivables originated by such group.
  • A UK credit institution in the structuring and closing of a EUR350M fund financing transaction made available to French infrastructure funds.
  • A Dutch credit institution in the refinancing of a EUR120M fund financing transaction to be made available to UK/French private equity funds.
