Mayer Brown and T&C advises on two winning deals in Latin Lawyer’s 2019 Deal of the Year Awards

Mayer Brown and Tauil & Chequer (T&C) in association with Mayer Brown advised on two transactions that were named “Deal of the Year” in the M&A (Private) and Regulatory categories in Latin Lawyer’s 14th annual Deal of the Year Awards. The winning transactions are:

M&A (Private): Engie buys TAG from Petrobras for US$8.6 billion

T&C represented Le Caisse de dépôt et placement du Québec (CDPQ), GDF International and Engie Brasil Energia S.A. in the acquisition of a 90 percent shareholding stake in Transportadora Associada de Gás S.A. from Petrobras, with a final and binding offer of $8.6 billion. T&C played a prominent role in this groundbreaking transaction in a challenging regulatory environment by advising CDPQ and Engie in corporate, regulatory, tax, compliance, litigation, real estate, labor and antitrust aspects. This deal represented the largest privatization in the history of Brazil.

Regulatory: Brazil raises US$17.3 billion in transfer-of-rights oil auction

T&C represented China National Offshore Oil Corporation (CNOOC) and its Brazilian affiliate, CNOOC Petroleum Brasil Ltda., in the transaction for the Transfer of Rights Surplus Bid Round involving CNOOC’s acquisition of its 5% stake in the Búzios field, located in Santos basis, considered the largest deep water oilfield discovery in the world to date. CNOOC was part of the winning consortium with Petrobras and CNPC Exploration & Development Company for the “transfer-of-rights” area. This acquisition culminated in the highest amount paid at an auction in the oil and gas industry.

The awards celebrate 10 deals that “exhibited truly novel legal work at a level of complexity that broke new parameters in the jurisdictions they occurred in.” Winners were selected from more than 400 nominations. To read more about the awards, please visit the website.
